MLB.com Free Agent Frenzy Official Rules (the "Official Rules")

NO PURCHASE NECESSARY TO ENTER OR WIN

The object of MLB.com Free Agent Frenzy (the "Contest") is to select the correct Major League Baseball ("MLB") team that you think each of fifteen (15) selected free agents ("Free Agents") will sign with during the 2007-2008 MLB off-season. You'll do this by selecting one MLB team for each of the Free Agents. You will also select a confidence level for each pick -- ranging from 15 down to 1 ("Confidence Level"). Points will be awarded based on your selected Confidence Level for every correct pick.

Eligibility

The Contest is open only to legal residents of the fifty (50) United States (excluding residents of Louisiana) and Washington D.C., and Canada (excluding residents of the Province of Quebec) who are of legal age of majority within their jurisdictions of residence as of the date of entry, with a valid Internet e-mail address as of October 30, 2007. Void outside the fifty (50) United States and Washington D.C., in Louisiana, the Providence of Quebec and where prohibited by law.

Employees or consultants of the MLB Entities (defined below) or any of their respective parents, affiliates, subsidiaries, or advertising and promotion agencies, or the immediate family (parent, sibling, child or spouse) or any person residing in the same household as any such employee or consultant of the above, whether or not related, are not eligible to participate or win a prize. The "MLB Entities" shall mean MLB Advanced Media, L.P. ("MLBAM"), the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc. (doing business in its own name and as Major League Baseball Productions), Tickets.com, Inc., SportsOnEarth, LLC, the Major League Baseball Clubs, and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the directors, officers, employees and agents of the above entities.

How to Register
You may register to participate in the Contest from 12:00 p.m. Eastern Time ("ET") on October 30, 2007 through 5:00 p.m. ET on November 12, 2007 (the "Registration Period"). Limit one (1) registration per unique email address. To register to participate, during the Registration Period visit www.mlb.com/fantasy and follow the banners, buttons and/or links for the Contest registration page. If you are not already a member of the site, you must become one before you can register to participate in the Contest (membership of the site is free). Registrations must be received by 5:00 p.m. ET on November 12, 2007, and are subject to the MLB.com Website Terms of Use. Contest Schedule
The Contest period begins at 5:01 p.m. ET on November 12, 2007 and ends at 11:59 PM ET on March 1, 2008 (the "Contest Period").

Game Administration
By participating in the Contest, each participant agrees that MLBAM will be responsible for resolving any disputes and rules violations that arise in connection with the Contest. All decisions by MLBAM regarding the Contest shall be final and binding in all respects. If you have any questions regarding the Contest, please send an e-mail to MLB.com customer support.

How to Play

Predicting players' 2007 teams
MLBAM will select and display on the MLB.com website a list of fifteen (15) Free Agents and participants must select from a drop-down menu the corresponding MLB team that the participant thinks that each Free Agent will sign with for the 2008 season.

Each participant must match an MLB team to all fifteen (15) Free Agents. If a participant fails to select a predicted 2008 team for any Free Agent, the participant will receive an error message indicating those Free Agents for which the participant still needs to select a team.

Selecting Confidence Levels
Participants must also select a Confidence Level for each choice of Free Agents' 2008 MLB teams. A Confidence Level of 15 indicates the selection that the participant is most confident about. A Confidence Level of 1 is the selection of least confidence. To do this, the participant selects a Confidence Level from the drop down menu displayed next to each Free Agent name.

Each participant must select a Confidence Level for all 15 Free Agents. If a participant fails to submit a Confidence Level, the participant will receive an error message indicating which Free Agent selection for which the participant still needs to select a Confidence Level.

Selection Deadline
The deadline for selecting Free Agents' MLB teams and Confidence Levels is 5:00 p.m. ET on November 12, 2007.

You may edit your selections at any time prior to November 12, 2007 at 5:00 p.m. ET.

The list of Free Agents will not change after the Contest begins at 12:00 p.m. ET on October 30, 2007.

Scoring
Scoring in the Contest is simple. For each correct selection that a participant makes, participant will receive the number of points equal to the corresponding Confidence Level selected.

For example: If a participant chooses Torii Hunter to sign with the Boston Red Sox with a Confidence Level of 13, and Hunter signs with the Boston Red Sox, participant will receive 13 points for that selection.

In the event that a MLB player does not sign with any MLB team by March 1, 2008, all participants who selected that player will receive zero (0) points for that selection.

Prizes
Prizes are non-transferable and non-assignable, with no cash redemptions or substitutions except by MLBAM who reserves the right to substitute a prize of comparable or greater value at its sole discretion. NO PRIZES WILL BE AWARDED IF NO PARTICIPANT ACHIEVES A SCORE OF AT LEAST THIRTY (30) POINTS.

Grand Prize
The eligible participant who has accrued the highest number of Points greater than or equal to thirty (30) Points during the Contest Period (the "Winner") will win two (2) tickets to one (1) 2008 MLB Opening Day game of the MLB Club of their choice (the "Grand Prize"). (Estimated Retail Value of Grand Prize: $150). TRANSPORTATION TO/FROM THE GAME NOT INCLUDED.

NOTE: GRAND PRIZE WILL ONLY BE AWARDED IF AN ELIGIBLE PARTICIPANT ACHIEVES A SCORE OF AT LEAST THIRTY (30) POINTS.

Seat locations shall be selected by MLBAM at its sole and absolute discretion. The Grand Prize Winner is fully responsible for any and all applicable federal, state, provincial and local taxes (including income and withholding taxes). All costs and expenses not specified herein related to the acceptance and use of the Grand Prize including, but not limited to, all transportation costs, lodging, meals gratuities and souvenirs, are the sole responsibility of the winner. Game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and may be subject to change. In the event that the 2008 MLB Opening Day game of the MLB Club of selected by the winner is scheduled to be played outside the Continental U.S. or Canada, Grand Prize Winner will received two (2) tickets to the selected MLB Club's first 2008 MLB regular season game scheduled to be played at their home ballpark within the Continental U.S. or Canada. The terms and conditions of the tickets awarded as prizes will govern in the event a legal game, as defined by Major League Baseball, is not played due to weather, an act of God, an act of terrorism, civil disturbances or any other reason. Winner agrees to comply with all applicable stadium regulations in connection with the Grand Prize. MLBAM reserves the right to remove or to deny entry to winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game.

The MLB Entities and each of their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, agents, independent contractors and advertising and promotional agencies and each of their respective officers, directors, agents and employees (collectively, the "Released Parties") will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control, that may cause the cancellation of MLB games.

In the event of a tie for the Grand Prize, tiebreakers will be used among the remaining tied participants in the following order:

1. Total number of actual correct player-team selections;

2. The highest actual Confidence Level selection that was correct, going backwards until a tie is broken. For example, if two people tie with 75 points, but one person selected his or her "15" pick correctly and the other person's top correct choice was his or her "14" pick, the person with the "15" correct pick would be the winner; and

3. MLBAM will administer a timed baseball trivia quiz, testing the tied participants' knowledge of Major League Baseball, until the tie is broken.

The participant whose submission is closest to the correct answer will be deemed the winner of the applicable tiebreaker.

Legal Disclaimers

General Conditions
By participating in the Contest, each participant accepts and agrees to be bound by these Official Rules, the MLB.com Privacy Policy and Website Terms of Use, and by the decision(s) of MLBAM which shall be final and binding in all respects.

The potential winner will be notified by e-mail and/or telephone (in MLBAM's discretion) and may (in MLBAM's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). In the event that the potential winner does not respond to such Prize Notification within five (5) days of date of notification, a disqualification will result and prize will be forfeited and, at MLBAM's sole discretion, awarded to the runner-up. Each winner may be required to submit his/her valid social security number and/or other identification to MLBAM and shall be required to execute and return an Affidavit of Eligibility (or, if a resident of Canada, a Declaration of Eligibility) and Release of Liability and, where legal, Publicity Release within three (3) days of date of receipt. Failure to submit any identification required by MLBAM or to return the required documents within the specified time period, noncompliance with these Official Rules or the return of any prize or prize notification as undeliverable may result in disqualification and prize will be forfeited and, at MLBAM's sole discretion, awarded to the runner-up.

Participants agree to allow MLBAM and its designees to use their names and likenesses in any and all mediums now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification or permission unless prohibited by law.

All applicable federal, state, provincial and local laws and regulations apply. This Contest and these Official Rules will be governed by the laws of the State of New York. Any court of competent jurisdiction sitting within the State of New York, New York County will be the exclusive jurisdiction and venue for any dispute arising out of or relating to this Contest or these Official Rules.

Released Parties are not responsible for lost, late, stolen, garbled, delayed, undelivered or misdirected entries, selections or registrations, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error, difficulty or malfunctions.

Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors or difficulties relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the processing of entries, selections or registrations, the tabulation of scores, the cancellation of games or any errors appearing in any Contest related-materials, including, but not limited to errors in advertising, the Official Rules, the selection and announcement of the Grand Prize Winner or the distribution of the prizes. MLBAM reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.

The Released Parties make no warranties, express or implied, relative to the use or enjoyment of any prize or portions thereof, including without limitations, its quality, merchantability or fitness for a particular purpose. By entering the Contest, participants agree to hold harmless and fully release the Released Parties from any and all liability for any injuries, losses, death, or damages of any kind caused by participation in the Contest, any prize or resulting from the acceptance, possession, quality, use or misuse of any prize, or any portion of any prize, including any travel or activity related thereto.

MLB.com Free Agent Frenzy is a skill contest designed to increase consumer awareness of and interest in Major League Baseball and MLB.com, the Official Site of Major League Baseball. This Contest may not be used for any form of gambling.

Rules/Winners Information

For winner information (available after March 1, 2008) or an additional copy of the Official Rules, send a self-addressed, stamped envelope to: MLB.com Free Agent Frenzy c/o Melissa Wester, MLB Advanced Media, L.P., 75 Ninth Avenue, New York, NY 10011. Specify "Rules" or "Winner List." Requests must be received by September 30, 2008. Residents of Vermont may omit return postage on rules requests.

Internet

If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, cancellation of games or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, MLBAM reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. In the event of termination, MLBAM further reserves the right to award the prizes to the eligible participant with the most points, as determined by MLBAM in its sole discretion, as of the termination date.

The Released Parties assume no responsibility for any error, omission, interruption, deletion, difficulties, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE MLB ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

All entries must include a valid e-mail address for the participant. In the event of a dispute as to the identity or eligibility of a Winner based on an e-mail address, the winning entry will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. The "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

In the event that the Contest is challenged by any legal or regulatory authority, MLBAM reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.
