2012 MLB.com Odyssey -- Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN

The object of MLB.com Odyssey is to outlast your Group (defined below) and be the last member to select a winning Major League Baseball team ("MLB Team") without making an Out (defined below). You'll do this by selecting one (1) MLB Team from a list displayed on MLB.com of all MLB Teams that are participating in MLB games on your assigned Selection Day (as defined below). If the MLB Team you select on your assigned Selection Day wins, you will advance to the next round of Group competition (each, a round). If the MLB Team you select on your assigned Selection Day loses, you will receive one (1) "strike" (a "Strike"). Once you accumulate the maximum number of Strikes designated by your Group, you will be deemed to have made an "out" (an "Out") and will be eliminated from your Group provided, however, in the event all participants in your Group make an Out within the same Round, all participants in the Group will not be eliminated and shall continue to the next Round. You must select an MLB Team on your assigned Selection Day. If you fail to select a MLB Team on your assigned Selection Day, you will receive a Strike.

To compete for the Grand Prize (as defined below), participate in a Public Group, become a Public Group Champion (as described below) and compete against all other Public Group Champions based on your selections of certain awards and other results of the 2012 MLB season (your "2012 MLB Season Selections").

Eligibility

The Contest is open only to legal residents of the fifty (50) United States, Washington D.C. and Canada (excluding residents of the Province of Quebec) who are of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age) as of the date of entry with a valid e-mail address and Internet access as of June 15, 2012. Void in the Province of Quebec and where prohibited by law, rule or regulation.

Employees, officers and directors (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and any person residing in their same households, whether or not related) of the MLB Entities (defined below) and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the Contest, are not eligible to participate or win the Grand Prize. The "MLB Entities" shall mean MLB Advanced Media, L.P. ("MLBAM or MLB.com"), the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs, Tickets.com, Inc., SportsOnEarth, LLC MLB Advanced Media DH, LLC and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the shareholders, parents, directors, officers, representatives, employees, agents, successors and assigns of the above entities.

CONTEST PERIOD

The Contest begins at the start of the first MLB regular season game scheduled to be played on April 4, 2012 and ends following the conclusion of the final game of the 2012 MLB regular season (the "Contest Period").

HOW TO REGISTER

You may register to participate in the Contest from 12:00 p.m. Eastern Time ("ET") on April 4, 2012 (the "Contest Start Date") through five (5) minutes prior to the start of the first game scheduled to begin on August 15, 2012 (the "Registration Period"). Online entry only. No other method of registration will be accepted. Limit one (1) registration per person and per unique email address. In case of multiple registrations received from any person or email address, only the first registration received from such person or email address will be considered. To register to participate during the Registration Period visit www.mlb.com/fantasy and click on the Contest banners, buttons and/or links to access the Contest registration page, then follow the directions provided. If you are not already a member of MLB.com, you must become one before you can register to participate in the Contest (membership is free). Registrations must be received by 7:00 p.m. ET on August 15, 2012. All entries must include a valid e-mail address for the participant. Please note that all information submitted by participants is subject to, and will be treated in a manner consistent with, MLB.com's Terms of Use accessible at: http://mlb.mlb.com/mlb/official_info/about_mlb_com/terms_of_use.jsp and Privacy Policy accessible at:www.mlb.com/privacy. Registrations generated by script, macro or other automated means or utilizing any other method or means which, in MLBAM's sole discretion, impacts the integrity of the Contest or is in violation of these Official Rules will be void. Entrants to the Contest may be given the option to receive commercial e-mails from MLB.com and/or Scotts; however, eligibility to participate in the Contest is not dependent upon entrant's consent to receive such e-mails.

CONTEST ADMINISTRATION

By registering and/or participating in the Contest, each participant agrees that MLBAM will solely resolve any disputes and rules violations that arise in connection with the Contest. All decisions by MLBAM regarding the Contest shall be final and binding in all respects. Any incidence of collusion or cheating, as determined by MLBAM in its sole and absolute discretion, will be subject to disqualification from the Contest without limitation to any other rights or remedies available to MLBAM. 2012 MLB SEASON SELECTIONS FORM

In order to be eligible for the Grand Prize, you must fully complete and submit a 2012 MLB Season Selections Form by no later than 11:59 pm ET on July 15, 2012. Beginning on the Contest Start Date and ending at 11:59 pm ET on July 15, 2012 (the "2012 MLB Season Selections Period"), each participant must fully complete and submit one (1) online 2012 MLB Season Selections form (the "2012 MLB Season Selections Form") in which each such participant must submit his/her 2012 MLB Season Selections that he/she thinks will occur with respect to the 2012 MLB season, as follows:

1. Baseball Writers' Association of America ("BBWAA") American League Most Valuable Player Award winner;

2. BBWAA National League Most Valuable Player Award winner; 3. BBWAA American League Cy Young Award winner; 4. BBWAA National League Cy Young Award winner; 5. American League East Division Champions; 6. American League Central Division Champions; 7. American League West Division Champions; 8. American League Wild Card game winner; 9. National League East Division Champions; 10. National League Central Division Champions; 11. National League West Division Champions; 12. National League Wild Card game winner; 13. American League Champions; 14. National League Champions; 15. World Series Champions; and 16. Total number of home runs hit by all MLB players during the 2012 MLB regular season.

You may make changes to your 2012 MLB Season Selections at any time during the 2012 MLB Season Selections Period; however, in order to be eligible for the Grand Prize, you must fully complete and submit your completed 2012 MLB Season Selections Form by no later than 11:59 pm ET on July 15, 2012. Limit (1) one 2012 Season MLB Selection Form per participant. For the avoidance of doubt, only awards, statistics and other results officially determined by the BBWAA, MLB and/or MLBAM, as applicable, will be counted as valid results in the 2012 MLB Season Selections Form.

CREATING A CONTEST TEAM

After you have registered to play, log into the Contest and follow the instructions to create a name for your entry. You cannot have more than one (1) Contest Team playing in the same Group. You may choose any name that has not already been selected provided it does not exceed twenty (20) characters. Contest Team names shall be subject to the MLB.com Terms of Use and shall not contain offensive, derogatory, profane or abusive language. MLBAM reserves the right, in its sole and absolute discretion, to approve, deny and/or remove any Contest Team name.

JOINING OR CREATING A GROUP

Once you have created a Contest Team, you will have the following options: (1) you may join a public group of six (6) randomly selected participants (each a "Public Group"), (2) you may create and customize your own private group (each a "Private Group"), and/or (3) join an existing Private Group. Each Public Group and each Private Group shall be known individually as a "Group" and collectively, the "Groups" for purposes of these Official Rules.

IMPORTANT NOTE: ONLY PARTICIPANTS WHO ARE PUBLIC GROUP CHAMPIONS (AS DEFINED BELOW) WILL BE ELIGIBLE FOR THE GRAND PRIZE.

Public and Private Groups

The following options are standard for all Public Groups and all Private Groups:

One (1) participant will be assigned a Selection Day per each scheduled Game Day (as defined below).

Participants are eliminated from the Group after receiving the maximum number of Strikes designated for his/her Group and making an Out; provided, however, in the event all participants in a Group make an Out within the same Round, all such participants will not be eliminated in the Group and shall continue to the next Round.

Join a Public Group

Join a Public Group and compete against randomly selected group of five (5) other participants. If you choose to be in a Public Group, you will be placed in a randomly selected Public Group based upon the availability of open slots in the Group. MLBAM reserves the right, in its sole discretion, to create Public Groups that consist of less than six (6) participants in the event an insufficient number of participants or Contest Teams are received.

Create and Customize a Private Group

This option allows you to set up your own Private Group where only participants you invite to compete can join your Private Group. The participant who creates and customizes a Private Group shall be known as the "Private Group Commissioner." As the Private Group Commissioner, you decide the total number of participants in your Private Group, the total number of Group participants that will be permitted to make a selection on each Game Day, and the maximum number of Strikes that will be permitted for all Group members before he/she makes an Out. You may invite other participants to join your Private Group by going to the "Invite Friends" section of your Group's homepage and entering the e-mail addresses of friends and/or other participants you wish to invite to compete in your Private Group.

The following options in this format will be customizable for all Private Groups:

Size of Group: Private Group Commissioners will have the option of setting up a Private Group with as few as two (2) and as many as thirty (30) group members.

Number of Group members making a selection per Game Day: Private Group Commissioners will have the option of setting up a Private Group that will allow one (1), two (2), three (3), four (4), or five (5) users to make a selection per day or for all Group members to make a pick per day. For example, if you are in a Private Group with twenty-five (25) group members, you will have the option of having as few as one (1) Group member make a selection per Game Day, between two (2) and five (5) Group members make a selection per Game Day or twenty-five (25) Group members make a selection per Game Day.

Number of Strikes: Private Group Commissioners will have the option of setting the maximum number of Strikes required for participants to make an Out. The minimum number of Strikes required for elimination is one (1), and the maximum is five (5).

Join a Private Group

Join a Private Group that your friends have already set up. You will need the Group ID and password (sent via e-mail by MLBAM upon request of a Private League Commissioner) in order to join a Private Group.

HOW TO PLAY

Contest Start Date

Be sure to check your Group home page often to find out start the date on which competition within your Group will commence and the order of Selection Days within your Group. In addition, MLBAM will send e-mail notification that includes the date your Group competition will commence and the order of Selection Days within your Group.

If you join a Public Group, competition will not start until the Public Group to which you are randomly assigned is full.

The Private Group Commissioner will select the date on which competition will commence for his/her Private Group. The Private Group Commissioner may change the start date at any time up until the start date of the Group competition so be alert.

Selecting Your MLB Team

Each day on which an MLB regular season game is played during the Contest Period (each a "Game Day"), MLBAM will display a list of all MLB Teams that are participating in MLB games on that Game Day. On each Game Day for which you are assigned to make a selection (each, a "Selection Day") within your Group, you must select one (1) MLB Team that you think will win. If the MLB Team you select on your assigned Selection Day wins, you will advance to the next Round. If the MLB Team you select on your assigned Selection Day loses, you will receive a Strike. If you fail to select a MLB Team for any Selection Day, you will receive a Strike. If you receive the maximum amount of Strikes permitted by your Group, you will receive an Out and be eliminated from your Group; provided, however, in the event all participants in your Group make an Out within the same Round, you will not be eliminated in the Group and shall continue to the next Round.

The list of available MLB Teams may change as a result of scheduling or other changes, so be alert. You may select any MLB Team from the list of all MLB Teams that are participating in MLB games on that Game Day, including any MLB Team you have previously chosen. You will have until five (5) minutes prior to the start of the first MLB game being played on that Game Day to make your MLB Team selection for that Game Day, after which you may not submit a MLB Team or change your selection; you may change your selection until five (5) minutes prior to the start of the first MLB game being played on that Game Day. MLB.com's computer shall be the official clock of the Contest.

Game Play

During Public Group competition, each Group member will be assigned a different Selection Day and will take turns making selections for the MLB Team he/she think will win for their Selection Day for the current Round. If the Group member successfully selects a winning MLB Team on his/her Selection Day, he/she will move on to the next Round. If the group member does not select a winning MLB Team on his/her assigned Selection Day, he/she will receive a Strike.

Example A: Participant, who has zero Strikes, is assigned May 15, 2012 as his/her Selection Day. The participant selects the New York Yankees to defeat the Baltimore Orioles. The Yankees end up defeating the Orioles, 3-1. Thus, the participant moves on to the next Round in the group without receiving a Strike and will be assigned his/her official next selection date after their pick is scored.

Example B: Participant, who has two Strikes, is assigned May 14, 2012 as his/her Selection Day. The participant selects the Texas Rangers to defeat the Kansas City Royals. The Rangers end up losing to the Royals, 12-3. Thus, the participant will receive his/her third and final Strike and will be eliminated from the Group.

Stat Corrections

Only wins officially scored as wins in 2012 MLB regular season games will be counted as valid wins in the Contest. Win totals will not be updated to reflect any official MLB statistics changes or corrections that may occur after the completion of an entire Game Day's schedule of games. Once an MLB game is final following completion of an entire Game Day's schedule of games, it will be final for purposes of this Contest; provided, however, that participants will not receive a Strike for selecting an MLB Team in any MLB game that is postponed, suspended or cancelled during any Round of Group competition.

PUBLIC GROUP CHAMPION COMPETITION

The last member of each Public Group to select a winning MLB Team without making an Out will be deemed the winner of his/her Public Group (the "Public Group Champion"). On or about October 1, 2012, each Public Group Champion will compete against all other Public Group Champions based on their 2012 MLB Season Selections submitted during the 2012 Season Selections Period. Each Public Group Champion will receive one (1) point for each correct Selection (i.e. up to sixteen (16) points). The eligible Public Group Champion who receives the most points in connection with his/her 2012 MLB Season Selections Form, as determined by MLBAM in its sole and absolute discretion, and subject to the Tiebreakers section below, will be deemed to be the winner of the Grand Prize (defined below) (the "Grand Prize Winner").

Tiebreakers

In the event two (2) or more eligible Public Group Champions are tied with the most points in connection with their 2012 MLB Season Selections Form, tiebreakers will be used among the remaining tied Public Group Champions in the following order:

1. The Public Group Champion who came closest to the total number of home runs hit by all MLB players during the 2012 MLB regular season; and

2. MLBAM will administer a timed baseball trivia quiz, testing the tied participants' knowledge of Major League Baseball, until the tie is broken. The participant whose submission is closest to the correct answer will be deemed the winner of the applicable tiebreaker.

GRAND PRIZE

One (1) eligible Grand Prize Winner will receive four (4) tickets for the Grand Prize Winner and three (3) guests to attend the 2013 MLB All-Star Game (exact date and location TBD) (the "Grand Prize"). Approximate retail value of the Grand Prize: $500. For the avoidance of doubt, a maximum of one (1) Grand Prize will be awarded for the entire Contest.

NOTE: ONLY PARTICIPANTS WHO ARE PUBLIC GROUP CHAMPIONS THAT SUBMITTED A 2012 MLB SEASON SELECTIONS FORM BY NO LATER THAN 11:59 PM ET ON July 15, 2012 ARE ELIGIBLE FOR THE GRAND PRIZE. All details of the Grand Prize are at the sole and absolute discretion of MLBAM. The Grand Prize Winner is fully responsible for any and all applicable federal, state, provincial and local taxes (including income and withholding taxes). All costs and expenses not specified herein as being provided related to the acceptance and use of the Grand Prize (or any portion thereof) are the sole responsibility of the Grand Prize Winner. Grand Prize is non-transferable and non-assignable, with no cash redemptions except in MLBAM's sole and absolute discretion. MLBAM reserves the right to substitute the Grand Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion.

TRANSPORTATION TO/FROM THE 2013 MLB ALL-STAR GAME NOT INCLUDED. Seat locations at the 2013 MLB All-Star game shall be selected by MLBAM at its sole and absolute discretion. Major League Baseball game and exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and may be subject to change. Grand Prize winner's companions must be of legal age of majority in his/her jurisdiction of residence (and at least eighteen (18) years of age), unless traveling with a parent or legal guardian. Grand Prize does not include tickets to All-Star Sunday, Home Run Derby, All-Star Workout Day, MLB All-Star FanFest or any other event or exhibition during the 2013 MLB All-Star Week apart from the 2013 MLB All-Star Game. If the 2013 MLB All-Star Game or any other prize-related activity is canceled or postponed for any reason, MLBAM will substitute tickets to that activity(s) with an item(s)/activity(s) of comparable or greater value as determined solely by MLBAM. Winner and his/her guest(s) agree to comply with all applicable stadium regulations in connection with the Grand Prize. The applicable MLB Entities reserve the right to remove or to deny entry to winner and/or his/her guest(s) who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. The Released Parties (defined below) will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control, that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale. Any such resale may result in disqualification and forfeiture of prize, and may invalidate the license granted by the game ticket(s).

LEGAL DISCLAIMERS

General Conditions

By registering and/or participating, each participant accepts and agrees to be bound by (i) these Official Rules, the MLB.com Privacy Policy and Terms of Use, and (ii) all decisions of MLBAM which shall be final and binding in all respects. The potential Grand Prize Winner will be notified by e-mail and/or telephone (in MLBAM's discretion) and may (in MLBAM's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). In the event that any potential Grand Prize Winner does not respond to any such Prize Notification within five (5) calendar days of date of issuance or declines the Grand Prize for any reason, a disqualification will result, the Grand Prize will be forfeited and, at MLBAM's sole and absolute discretion, awarded to the runner-up (if applicable). The potential Grand Prize Winner will be required to submit his/her valid social security number and/or other identification to MLBAM and shall be required to execute, have notarized and return an Affidavit of Eligibility (or, if a resident of Canada, a declaration) and Release of Liability and, unless prohibited by law, Publicity within five (5) calendar days of date of issuance. Each guest of the potential Grand Prize Winner may be required to execute, have notarized and return a Release of Liability and, unless prohibited by law, Publicity prior to the issuance of the Grand Prize. Failure to submit any identification required by MLBAM or to return any required documents within the specified time period, noncompliance with these Official Rules or the return of the Grand Prize (or any portion thereof) or Prize Notification as undeliverable may result in disqualification and prize forfeiture and, at MLBAM's sole and absolute discretion, awarded to the runner-up (if applicable).

Each participant agrees to allow MLBAM and its designees to use their names and likenesses in any and all mediums now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification or permission, unless prohibited by law. All applicable federal, state, provincial and local laws and regulations apply. This Contest and these Official Rules will be governed by the laws of the State of New York. Any court of competent jurisdiction sitting within the State of New York, New York County will be the exclusive jurisdiction and venue for any dispute arising out of or relating to this Contest or these Official Rules. MLBAM's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The MLB Entities and each of their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, agents, independent contractors, advertising and promotional agencies, and each of their respective officers, directors, agents and employees (collectively, the "Released Parties") are not responsible for lost, late, stolen, garbled, delayed, undelivered or misdirected entries, selections or registrations, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. Major League Baseball game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable Major League Baseball Club, as applicable, and may be subject to change. The Released Parties will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition.

Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the processing of entries, selections or registrations, the tabulation of scores or selections, the cancellation of games or any errors appearing in any Contest related-materials, including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of the Grand Prize Winner or the distribution of the Grand Prize. MLBAM reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.

The Released Parties make no warranties, express or implied, relative to the use or enjoyment of the Grand Prize (or any portion thereof), including without limitation, its quality, merchantability or fitness for a particular purpose. By entering the Contest, each participant agrees to indemnify, hold harmless and fully release the Released Parties from any and all claims, demands, losses, promises, causes of action and liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest or resulting from the acceptance, possession, quality, use or misuse of the Grand Prize (or any portion thereof), including any travel or activity related to the receipt or use of the Grand Prize (or any portion thereof). MLB.com Odyssey is a skill contest designed to increase consumer awareness of and interest in Major League Baseball and MLB.com, the Official Site of Major League Baseball. This Contest may not be used for, or in connection with, any form of gambling.

Specify "Rules" or "Winner List." Requests must be received by December 31, 2012). Residents of VT and Canada may omit return postage on rules requests.

Internet

If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, cancellation of games or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, MLBAM reserves the right at its sole discretion, to cancel, terminate, modify or suspend the Contest and to disqualify any individual who tampers with the entry process and , if terminated, to determine the winners, if any, from among all eligible, non-suspect winning selections achieved up to the point of termination. The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, wireless, Internet Service Provider (ISP) or lines, computer systems, servers, or providers, computer equipment, software, malfunctions of Mobile Devices or other wireless devices, wireless service problems, cellular tower equipment, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any Web site or wireless service congestion, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MLBAM WILL DISQUALIFY ANY SUCH PARTICIPANT, AND MLBAM AND/OR ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity of any participant, an entry will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution.) has assigned the e-mail address for the domain associated with the submitted e-mail address.

In the event that the Contest is challenged by any legal or regulatory authority, MLBAM reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.
