SWEEPSTAKES ENTRY PERIOD: The MLB Network at CMA Fest Sweepstakes (the "Sweepstakes") begins on Monday, April 29, 2019 and ends on Friday, May 10, 2019 (the "Sweepstakes Period").
ELIGIBILITY: The Sweepstakes is open to legal residents of the 50 United States, including the District of Columbia, who are at least 18 years of age, or the age of majority in their jurisdiction of residency if such age of majority is greater than 18, at the time of entry. Void in Puerto Rico, outside the U.S., and wherever else prohibited by law. Employees of The MLB Network, LLC (the "Sponsor"), the other MLB Entities (as defined below), Country Music Association, Inc. ("CMA"), Digital Lion Marketing (the "Administrator"), and each of the foregoing entities' respective subsidiaries, affiliates, advertising and promotion agencies and marketing/prize providers (collectively the "Sweepstakes Entities"), and the immediate family members of, and/or those living in the same household of each, are not eligible to enter. Sweepstakes is subject to all applicable federal, state and local laws and regulations. The "MLB Entities" for purposes of these Official Rules shall mean, the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, the Major League Baseball Clubs ("Clubs"), Major League Baseball Properties, Inc., MLB Advanced Media, L.P., BAMTech, LLC, The MLB Network, LLC, each of their parent, subsidiary, affiliated and related entities, any entity which, now, or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities.
HOW TO ENTER: There are two (2) ways to enter.
Method #2: Alternate Method of Entry ("AMOE") / Mail-in Entry. To enter, mail a postcard (the "Mail-In Entry"), including your name, complete address, email address and phone number to the following address to receive one (1) entry into the Sweepstakes: The MLB Network at CMA Fest Sweepstakes, 625 Panorama Trail, Suite 2100, Rochester, NY 14625-2437. Each Mail-In Entry must be mailed separately and must be postmarked between Monday, April 29, 2019 and Friday, May 10, 2019, and received by Friday, May 17, 2019. Photocopied, illegible, or mechanically reproduced entries are not eligible. All entries become the property of the Sponsor and will not be returned or acknowledged. Sponsor is not responsible for lost, late, damaged, misdirected or postage-due mailed entries.
Limit: One (1) Entry per person during the Sweepstakes Period regardless of method of entry. All methods of entry have an equal chance of winning. All entries become the property of the Sponsor and will not be acknowledged or returned.
In the event of a dispute, Entries will be deemed to have been submitted by the Authorized Account Holder of the email address submitted at the time of entry. "Authorized Account Holder" means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Any participant may be required to show proof of being the authorized account holder to Sponsor's satisfaction.
No Entry by a group or organization will be considered. By participating, each participant acknowledges reading, accepting, and agreeing to these Official Rules, and agrees to complete any and all documentation required (as applicable), if requested, in order to participate as a participant and/or be eligible to win a prize. Participants in violation of these Official Rules will be disqualified. By entering the Sweepstakes, each participant represents and warrants that he/she is not subject to any agreement or arrangement that would interfere with him/her entering this Sweepstakes and assigning all the rights to his/her Entry (if applicable) assigned hereunder. Final eligibility for the award of any prize is subject to eligibility verification as set forth below.
PrizeS/Approximate Retail Value ("ARV")/Prize Conditions:
Grand Prize: One (1) Grand Prize winner will receive a trip for two (2) (i.e., winner and one (1) guest), to Nashville, TN to attend the CMA Fest June 6 - June 9, 2019 (the "CMA Fest"). Actual value of trip depends on location of Grand Prize winner's primary residence, fares at time of travel and land accommodations. If actual value of the trip is lower or higher than ARV stated herein, the difference will not be awarded.
The "Grand Prize" consists of the following:
• Round trip coach airfare in the continental U.S. for Grand Prize winner and one (1) guest to/from the closest commercial airport nearest to Grand Prize winner's primary residence (as determined by Sponsor in its sole discretion) and Nashville, TN.
• One (1) $250 Uber gift card
• Double-occupancy standard hotel accommodations for four (4) nights/five (5) days in Nashville, TN (selection of hotel is at the Sponsor's sole discretion).
• Two (2) four-day passes for Grand Prize winner and one (1) guest to attend the CMA Fest.
Total ARV of Grand Prize: $4,150.
Total ARV of all Prizes is $4,150.
Prizes are non-transferable, non-assignable and not redeemable for cash in whole or in part and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute a Prize (or a component thereof) for a prize of equal or greater value if the designated Prize should become unavailable for any reason. Each winner is responsible for all taxes and fees associated with Prize receipt and/or use.
Grand Prize Conditions: All Grand Prize travel related expenses, including but not limited to, ground transportation (other than noted above) to and from home, taxes, gratuities, incidentals, upgrades, insurance, service charges, airport surcharges, departure taxes, hotel, resort or property fees, food & beverage and personal expenses such as telephone/Internet charges, and gift shop purchases are the sole responsibility of Grand Prize winner. Exact duration and nature of the events are at the sole and absolute discretion of Sponsor and subject to availability.
Grand Prize travel must be taken on dates to be determined by Sponsor. Departure dates and accommodations are subject to availability; certain restrictions may apply. Airlines and flight times to be selected by Sponsor at its sole discretion. One or more stopovers may be required on air transportation. If in the judgment of Sponsor air travel is not required due to Grand Prize winner's proximity to destination, ground transportation will be awarded in lieu of roundtrip air travel at Sponsor's sole and absolute discretion. The difference in value will not be awarded to the Grand Prize winner. Air transportation, if applicable, and hotel accommodations must be taken together and cannot be taken separately. All travel arrangements must be made through Sponsor's agent on a carrier of Sponsor's choice. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. Grand Prize winner must confirm available travel dates and flight times selected by the Sponsor prior to travel dates. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates or similar items once they are in Grand Prize winner's possession, or in the possession of Grand Prize winner's guest(s). If for any reason whatsoever, Grand Prize winner and/or guest(s) are unable to travel after all travel arrangements have been made and paid, the Sponsor shall have no further obligation to the Grand Prize winner. If Grand Prize is forfeited prior to Sponsor finalizing and paying for travel, and there is sufficient time to notify an alternate potential winner, the Grand Prize may be awarded to an alternate winner. Grand Prize winner and guest must travel together on the same itinerary. Grand Prize winner's guest must be a legal U.S. resident, and of the Age of Majority in his/her State of Primary Residence, unless guest is a child or legal ward of Grand Prize winner and Grand Prize winner has custodial parental permission for him/her to accompany Grand Prize winner. Travel package and its components may not be sold, traded, transferred, or rescheduled to dates not within the fulfillment period set forth above, or refunded. Tickets awarded as part of the Grand Prize are subject to additional terms and conditions stated on such tickets. Sponsor and the Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by air carriers, hotels or other transportation companies or any other persons providing any services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Sponsor and the Sweepstakes Entities shall not be liable for any loss or damage to baggage or any other loss, damage, or injury to persons or property. Nothing set forth herein shall be construed to require any person or entity to hold any event at any particular time, or at all. In the event that the event listed in the Grand Prize description does not or cannot take place as scheduled or at all, for reasons included but not limited to scheduling conflicts, cancellations, postponement, an event of force majeure, or for any other reason, then the Grand Prize winner will receive the remaining components of the Grand Prize, which shall constitute full satisfaction of Sponsor's prize obligation to the Grand Prize winner, and no other or additional compensation will be awarded. In the event the Grand Prize winner, and/or his or her guest, engage in behavior that, as determined by Sponsor in their sole discretion, is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the event experience early, in whole or in part, and send the Grand Prize winner and his or her guest home with no further compensation. Grand Prize Winner and Guest shall at all times abide by the terms and conditions printed on the event ticket, failure to do so may result in ejection from the event.
The potential Grand Prize winner and his/her guest may be subject to and if so, must pass a background check. Each potential winner and their guest must cooperate with such background check by timely submitting any information required by the Sponsor in their sole discretion.
Prize Drawings/Notification/Odds: One (1) potential Grand Prize winner will be selected in a random drawing, conducted by an agent of the Sponsor, on or about Tuesday, May 28, 2019, from among all eligible entries received during the Sweepstakes Period. The drawing will take place at the offices of the agent for the Sponsor whose decisions are final.
Prize award is subject to verification of eligibility and compliance with these Official Rules. The potential Grand Prize winner will be confirmed via email and/or phone and will be required to sign and return, within forty-eight (48) hours of notification, an Affidavit of Eligibility, an IRS Form W-9, a Liability Waiver, and where allowable, a Publicity Release (collectively, "the Releases"). Travel companion and/or the legal guardian of a travel companion who is a minor, must complete and return a Liability/Publicity/Travel Release prior to travel prior to issuance of travel documents.
If a prize notification is returned as undeliverable, if a potential winner of any prize cannot be contacted, if potential winner is found to be ineligible or not in compliance with these rules, or if the selected winner cannot accept or receive the prize for any reason, that potential winner will be disqualified, and the prize may be awarded to an alternate winner. Non-winning participants will not be notified.
Odds of winning depend on the number of eligible entries received.
Winner Requirements: Potential winners whose prize is valued at $600 or more will also be required to furnish his/her Social Security Number. The value of the prize may be taxable to the winner as income. An IRS Form 1099 may be issued in the name of the winner for the actual value of the prize received. Except where prohibited by law, entry and acceptance of prize constitute permission for the Sweepstakes Entities to use winner's name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission. Neither Sponsor nor the Sweepstakes Entities shall incur any liability whatsoever to the extent Sponsor and/or the Sweepstakes Entities choose to refrain from any exploitation of its rights hereunder. Each winner will indemnify Sponsor, the other Released Parties (as defined below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.
Release: By participating, participant agrees to release and hold harmless Sponsor, the Sweepstakes Entities and each of their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, prize suppliers, and each of the respective parent companies of the foregoing entities, and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize.
General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes or for any other reason, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY ENTRANT RESPONSIBLE FOR THE ATTEMPT, AND SPONSOR, MLB ADVANCED MEDIA, L.P. AND/OR THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by participant, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant's participation in the Sweepstakes or receipt or use or misuse of any prize. Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Sponsor is not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Sweepstakes. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.
Arbitration Disclosure: By participating in this Sweepstakes, each participant agrees that: (1) any claim, dispute, or controversy (whether in contract, tort, or otherwise) participant may have against any of the Released Parties arising out of, relating to, or connected in any way with the Sweepstakes, the awarding or redemption of prizes, or the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by American Arbitration Association ("AAA") and conducted before a sole arbitrator pursuant to the applicable Rules and Procedures established by AAA ("Rules and Procedures"); (2) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16; (3) the arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures (provided such location is reasonably convenient for participant), or at such other location as may be mutually agreed by the participant and Sponsor; (4) the arbitrator's decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the participant may have entered into in connection with the Sweepstakes; (5) the arbitrator shall apply New York law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (6) there shall be no authority for any claims to be arbitrated on a class or representative basis as participant and Sponsor hereby waive the right to assert claims in any class or representative action; arbitration can thus decide only the participant's and/or Sponsor's individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (7) to the extent permitted by law, the arbitrator shall not have the power to award punitive, incidental or consequential damages against the participant or Sponsor; (8) in the event that the administrative fees and deposits that must be paid to initiate arbitration against Sponsor exceed $125 USD for claims less than $10,000 or $375 for claims greater than $10,000 but less than $75,000, and the participant is unable (or not required under the applicable Rules and Procedures) to pay any fees and deposits that exceed this amount, Sponsor agrees to pay them and/or forward them on the participant's behalf, subject to ultimate allocation by the arbitrator. In addition, if the participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the participant's filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (9) with the exception of subpart (6) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (6) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither Sponsor nor participant shall be entitled to arbitrate their dispute.
