2019 MLB Postseason Bracket Challenge Presented by MGM Resorts Official Rules

Introduction

The object of the 2019 MLB Postseason Bracket Challenge Presented by MGM Resorts (the "Contest") is to select the MLB teams you think will win each series of the 2019 Major League Baseball ("MLB") Postseason. For purposes of this Contest, the "Postseason Series" shall mean, collectively, the America League Wild Card Game Presented by Hankook Tire and National League Wild Card Game Presented by Hankook Tire (collectively, "Wild Card"), American League Division Series ("ALDS") Presented by Doosan, the National League Division Series ("NLDS") Presented by Utz, the American League Championship Series ("ALCS"), the National League Championship Series ("NLCS") and the 2019 World Series Presented by Youtube TV ("World Series"). To enter, you must complete an online bracket by selecting, for each game of the Postseason Series, the MLB teams you think will win, as well as answering two additional questions and two tiebreaker questions. Your goal is to use your skill and knowledge of Major League Baseball to try to pick the winners of each game of the Postseason Series and answer the Contest questions.

Eligibility

The Contest is open only to legal residents of the United States including its commonwealths, territories and possessions (collectively referred to herein as "states") and Canada (excluding residents of the Province of Quebec) who are of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age) as of the time of entry with a valid e-mail address. Excluded residents may play, but WILL NOT be eligible to receive any prizes. Void in the Province of Quebec and where prohibited by law, rule or regulation.

Employees, officers and directors (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and any person residing in their same households, whether or not related) of the MLB Entities (defined below), teamDigital Promotions, Inc. ("Administrator"), MGM Resorts International Operations, Inc. ("MGM") and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the Contest, are not eligible to participate or win a prize. The "MLB Entities" shall mean MLB Advanced Media, L.P. ("Sponsor," "MLBAM" or "MLB.com"), the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. The Contest is subject to all applicable federal, state, territory, provincial and local laws, rules and regulations.

How to Enter
 

The Contest entry period begins at 6:00 p.m. Eastern Time ("ET") on September 29, 2019, and ends five (5) minutes prior to the start of the first game of the 2019 MLB Postseason, currently scheduled to begin with the National League Wild Card Game on October 1, 2019, but subject to change (the "Entry Period"). Online entry only. No other method of entry will be accepted. Limit one (1) entry/bracket per person and per valid e-mail address. Additional entries submitted later in time by any person or e-mail address during the Contest Entry Period will void and replace any existing entry submitted by such person or e-mail address, subject to Lock Time (as defined below). In other words, the last entry you submit prior to Lock Time is the only valid entry for the Contest - all other entry(ies) you submit are void. To enter, click on the Contest banners, buttons and/or links to access the online entry form for the Contest ("Contest Page"). By successfully transmitting a completed bracket, and an answer to the required questions and tiebreakers, as directed, you will be entered in the Contest. Entries must be received during the Entry Period to be eligible. All entries must include a valid e-mail address for the participant. Please note that all information submitted by participants is subject to, and will be treated in a manner consistent with, MLB.com's Terms of Use accessible at https://www.mlb.com/official-information/terms-of-use and Privacy Policy accessible at: mlb.com/privacy. Entries generated by script, macro or other automated means or utilizing any other method or means which, in MLBAM's sole discretion, impacts the integrity of the Contest or is in violation of these Official Rules are void. Entrants to the Contest may be given the option to receive (a) commercial e-mail from MLB.com and/or its affiliates and from MGM, and/or (b) mobile text messages and updates from MLB.com; however, eligibility to participate in the Contest is not dependent upon entrant's consent to receive such e-mails and/or mobile text messages and updates and consenting to receive such e-mails and/or mobile text messages and updates will not impact any entrant's chances of winning. Contest Administration

By entering and/or participating in the Contest, each participant agrees that MLBAM will solely resolve any disputes and rules violations that arise in connection with the Contest. MLBAM's computer shall be the official clock of the Contest. All decisions by MLBAM regarding the Contest shall be final and binding in all respects. Any incidence of collusion or cheating, as determined by MLBAM in its sole discretion, will be subject to disqualification from the Contest without limitation to any other rights or remedies available to MLBAM. Filling Out Your Bracket

Each Postseason Series match-up will be posted on the Contest Page after all ten (10) MLB teams participating in the 2019 MLB Postseason have been confirmed. Follow the instructions provided to select the MLB teams that you think will win each game of the Postseason Series within the online bracket. 

Additional Required Questions

In addition to filling out your bracket, you must make the following two (2) predictions:

  1. Pick the Most Valuable Player (MVP) of the 2019 World Series; and
  2. Pick the total number of games played during the entire 2019 World Series.

Selecting Tiebreakers

In addition to filling out your bracket and answering the required questions, you must also predict an answer to each of the following tiebreaker questions (as discussed more fully in the "Tiebreakers" section below):

  1. Total number of home runs you think will be recorded during the entire 2019 Postseason Series; and
  2. Total number of runs you think will be scored during the entire 2019 World Series.

Note: Only runs and home runs officially scored by MLB as runs and home runs in the 2019 Postseason Series will be counted for purposes of the Contest.

Team Selection Deadline

The deadline for selecting your bracket and answering the questions and tiebreakers (collectively, an "Entry") is five (5) minutes prior to the start of the first Wild Card game (the "Lock Time"). If you fail to submit an Entry before the Lock Time, you will not be eligible to participate in the Contest. No Entry may be revised after the Lock Time.

The maximum number of points an Entry may receive is two hundred (200) points ("Top Score"). 

The eligible participant who achieves the Top Score of two hundred (200) points based on the results of his/her Entry, as determined by MLBAM in its sole discretion based on official results, will be deemed the official winner of the Contest (the "Grand Prize Winner"), subject to verification of eligibility and full compliance with the terms of these Official Rules. In the event of a tie, the Tiebreakers (defined below) will be used to determine one (1) Grand Prize Winner. IN NO EVENT WILL MORE THAN ONE (1) GRAND PRIZE BE AWARDED.

Grand Prize

The Grand Prize Winner, if any, will receive two hundred fifty thousand U.S. dollars (USD$250,000) (the "Grand Prize") to be awarded in the form of a check made payable to the person named in the Grand Prize Winner's Entry. Approximate Retail Value ("ARV") of the Grand Prize: two hundred fifty thousand U.S. dollars (USD$250,000). All Grand Prize details are at Sponsor's sole discretion. IN NO EVENT WILL MORE THAN ONE (1) GRAND PRIZE BE AWARDED.

NOTE: GRAND PRIZE WILL ONLY BE AWARDED IF AN ELIGIBLE PARTICIPANT ACCUMULATES TWO HUNDRED (200) POINTS, AS DETERMINED BY SPONSOR, IN ACCORDANCE WITH THESE OFFICIAL RULES.

GRAND PRIZE CONDITIONS: Grand Prize Winner is fully responsible for any and all applicable federal, state, provincial and local taxes (including income and withholding taxes). All costs and expenses associated with the Grand Prize acceptance and use not specified herein as being provided including, but not limited to, any and all expenses incurred by accepting the Grand Prize are the sole responsibility of the Grand Prize Winner. The Grand Prize will be awarded in the form of a check in U.S. dollars as one (1) lump sum. The Grand Prize is non-transferable and non-assignable, with no cash redemptions except at Sponsor's sole and absolute discretion. Sponsor reserves the right to substitute the Grand Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion.

Tiebreakers
 

In the event of a tie for the Grand Prize, the following tiebreakers (the "Tiebreakers") will be used, in the following order:

  1. Tiebreaker 1 will be applied first. The entrant coming closest to predicting the total number of home runs recorded in the entire 2019 Postseason Series (consisting of all games of the Wild Card, ALDS, NLDS, ALCS, NLCS, and World Series); will be deemed the winner of Tiebreaker 1. For the avoidance of doubt, it does not matter if the prediction is above or below the total number of home runs recorded. For example, if 100 home runs are recorded in the entire 2019 Postseason Series, and one tied participant predicted 98 home runs and another tied participant predicted 101 home runs, the participant who predicted 101 home runs would be deemed the winner of Tiebreaker 1.
  2. If there is still a tie after Tiebreaker 1 is applied, Tiebreaker 2 will be applied. The participant coming closest to predicting the total number of runs scored in the entire 2019 World Series will be deemed the winner of Tiebreaker 2. For the avoidance of doubt, it does not matter if the prediction is above or below the total number of runs scored. For example, if 50 runs are scored in the entire 2019 World Series, and one tied participant predicted 49 runs and another tied participant predicted 53 runs, the participant who predicted 49 runs would be deemed the winner of Tiebreaker 2.
  3. In the event that the tie is still not broken after applying the two (2) tiebreakers above, the Grand Prize will be divided evenly among all among all tied, eligible entrants.

General Conditions

By participating, each participant accepts and agrees to be bound by these Official Rules, the MLB.com Privacy Policy and Terms of Use, and by the decision(s) of MLBAM which shall be final and binding in all respects.

Prize Notification

The potential winner will be notified by e-mail and/or telephone (in MLBAM's and Administrator's discretion) and may (in MLBAM's and Administrator's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). Subject to verification of eligibility and compliance with the terms of these Official Rules, the potential winner will be declared an official winner. In the event that the potential winner does not respond to any such Prize Notification within five (5) days of the date of issuance, declines the prize for any reason or, in the case of Canadian residents, incorrectly answers the skill testing question as determined by Administrator in its sole discretion, a disqualification will result and prize will be forfeited and, at MLBAM's sole discretion, awarded to the runner-up (if there is any runner-up whose Entry scored the Top Score). The potential winner will be required to submit his/her valid social security number and/or other identification to MLBAM and will be required to execute, have notarized and return an Affidavit of Eligibility (or, if a resident of Canada, a declaration) and Release of Liability and, unless prohibited by law, Publicity within five (5) days of the date of issuance. If the potential winner is a Canadian resident, he/she will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time limited mathematical skill testing question which will be administered by Administrator by telephone at a mutually agreeable time. Failure to submit any identification required by MLBAM or to return any required documents within the specified time period, noncompliance with these Official Rules or the return of any prize or Prize Notification as undeliverable may result in disqualification and prize will be forfeited and, at MLBAM's sole discretion and time permitting, awarded to the runner-up (if there is any runner-up whose Entry scored the Top Score).

Each participant agrees to allow MLBAM and its designees to use their names and likenesses in any and all media or format(s) now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification or permission unless prohibited by law. All applicable federal, state, territory, provincial and local laws and regulations apply. MLBAM's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The MLB Entities, Administrator, Apple., Inc., MGM and each of their respective parent companies, trustees, subsidiaries, franchisees, assignees, affiliates, licensees, agents, independent contractors, telecasters, sponsors, licensees and advertising and promotional agencies, and each of their respective general and limited partners, members, shareholders, officers, directors, agents, employees, representatives and contractors (collectively, the "Released Parties") shall not be responsible for lost, late, stolen, garbled, delayed, undelivered or misdirected entries, selections or entries, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. 

Major League Baseball game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable Major League Baseball Club, as applicable, and may be subject to change. The Released Parties will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition.

Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the processing of entries, selections or entries, the tabulation of scores, the cancellation of games or any errors appearing in any Contest related-materials, including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of the prize winner(s) or the distribution of the prizes. MLBAM reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.

The Released Parties make no warranties, express or implied, relative to the use or enjoyment of any prize (or any portion thereof) including, without limitation, its quality, merchantability or fitness for a particular purpose. By entering the Contest, each participant agrees to indemnify, hold harmless and fully release the Released Parties and Facebook from any and all claims, demands, losses, promises, causes of action and/or liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest, Contest-related activity, participant's entry, or resulting from the acceptance, possession, quality, use or misuse of any prize (or any portion thereof), including any travel or any activity related to the receipt or use of any prize (or any portion thereof). Apple, Inc. is not a sponsor of, or responsible for conducting, the Contest. All information submitted by participants in connection with this Contest is provided to MLBAM and not to Facebook. This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook or Apple. This Contest is a skill contest designed to increase consumer awareness of and interest in Major League Baseball and MLB.com, the Official Site of Major League Baseball. This Contest may not be used for, or in connection with, any form of gambling.

If the Contest is not capable of running as planned for any reason including, without limitation, as a result of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, cancellation of games or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, MLBAM reserves the right at its sole and absolute discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest and, if terminated, to determine the winner(s), if any, from among all eligible, non-suspect scores achieved up to the point of termination.

The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, wireless Internet Service Provider (ISP) or lines, computer systems, servers, or providers, computer equipment, software, malfunctions of wireless devices, wireless service problems, cellular tower equipment, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any website or wireless service congestion, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MLBAM WILL DISQUALIFY ANY PARTICIPANT RESPONSIBLE FOR THE ATTEMPT, AND MLBAM AND/OR ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity or eligibility of the potential winner based on an e-mail address, the winning entry will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution) has assigned the e-mail address for the domain associated with the submitted e-mail address.

As a condition of entering this Contest, each entrant agrees that (A) any and all disputes, claims, controversies or causes of action arising out of or relating to this Contest, or any prizes awarded (each, a "Claim"), shall be (1) arbitrated on an individual basis only, and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party, and (2) settled by binding arbitration in New York County, New York before a single arbitrator appointed by the American Arbitration Association in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (B) under no circumstance will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of New York, U.S.A, applicable to contracts entered into and performed exclusively in that State.

In the event that the Contest is challenged by any legal or regulatory authority, MLBAM reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.
