Contest Official Rules

NO ENTRY FEE. NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED BY LAW. A PURCHASE WILL NOT INCREASE YOUR OPPORTUNITY TO WIN. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND PARTICIPANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

The Grand Prize will only be awarded if an ELIGIBLE ENTRANT RECEIVES THE MAX SCORE, as determined by Sponsor in accordance with these Official Rules.

Introduction

The object of the 2021 MLB Moonblasts Pick 'Em (the "Contest") is to use your Major League Baseball ("MLB") knowledge and skill to predict the MLB player ("Player") who will hit the longest home run during the Contest Period (as defined below) and the whole number distance (in feet) and type (e.g., solo home run or grand slam) of such home run. To enter, you must complete an online form with your predictions and answers to tiebreaker questions as described within these Official Rules. The "Contest Period" begins on Sunday, August 1, 2021 and ends at the conclusion of the 2021 MLB regular season. The Contest shall take into account only those MLB games that are deemed "official games" by MLB. An MLB game is deemed an "official game" once the visiting team has made fifteen (15) outs (i.e., completed five (5) innings) and the home team is leading, or once the home team has made fifteen (15) outs regardless of score. The Contest will not take into account any MLB games that began prior to the Contest Period but were suspended and resumed during the Contest Period, any non-regulation contests, exhibition games, or any MLB game that is not deemed an "official game" by MLB. The Contest will take into account regular season MLB games that begin during the Contest Period and are either re-scheduled and completed during the Contest Period or suspended and resumed and completed during the Contest Period, provided those games are deemed "official games."

By participating in the Contest, you accept and agree to be bound by these Official Rules, MLB’s Terms of Use and Privacy Policy (as such terms are defined below), and the decision(s) of Sponsor which shall be final and binding in all respects.

Eligibility

The Contest is open only to legal residents of the United States (including its commonwealths, territories, and possessions) who are of legal age of majority in their jurisdictions of residence and at least eighteen (18) years of age as of the time of entry. Employees, officers, and directors, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and any person residing in their same households (whether or not related), of the MLB Entities (defined below), Blockfolio Inc. (the "Prize Provider" or "Blockfolio") each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any and all other companies which, at any time during the Contest Period, are associated with the Contest are not eligible to enter or win the Contest. The "MLB Entities" shall mean MLB Advanced Media, L.P. ("Sponsor,"), the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated, and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees, and agents of the foregoing entities. Excluded individuals may participate for entertainment purposes, but are not eligible to compete or receive any prize. Sponsor will have the right, in its discretion, to require proof of identity in a form acceptable to Sponsor (for example, government-issued photo identification) for purposes of verifying eligibility. Failure to provide such proof to the satisfaction of Sponsor in a timely manner may result in disqualification. Void in the Province of Quebec and where prohibited by law, rule, or regulation. The Contest is subject to all applicable federal, state, territory, provincial, and local laws, rules, and regulations.

How to Enter

The Contest entry period begins at 12:00 PM Eastern Time ("ET") on July 23, 2021 and ends at 2:00 pm ET on July 31, 2021 (the "Entry Period"). Online entry only. No other method of entry will be accepted. Limit one (1) entry per person and per email address. If you submit more than one (1) entry, the entry you submitted nearest to the end of the Entry Period will be considered your one (1) valid entry. In other words, the last entry you submit prior to the end of the Entry Period is the only valid entry for the Contest; any other entry you have submitted will be considered void. No entry may be revised after the close of the Entry Period.

To enter, click on the Contest banners, buttons, and/or links to access the entry form for the Contest. Participants must read and consent to these Official Rules during the Contest entry process. By successfully transmitting a completed online entry form as directed, including your Contest predictions and an answer to each tiebreaker question, you will be entered in the Contest. All entries must include a valid email address for the participant. All information submitted by participants is subject to, and will be treated in a manner consistent with, MLB’s Terms of Use, accessible at mlb.com/tou ("Terms of Use"), and Privacy Policy, accessible at mlb.com/privacy ("Privacy Policy"). Entries generated by script, macro, or other automated means or utilizing any other method or means which, in Sponsor's sole discretion, impacts the integrity of the Contest or is in violation of these Official Rules are void. Entrants to the Contest may be given the option to receive (a) commercial email from Sponsor, its affiliates, and/or partners and/or (b) mobile text messages and updates from Sponsor; however, eligibility to participate in the Contest is not dependent upon entrant's consent to receive such emails and/or mobile text messages and updates and consenting will not impact any entrant's opportunity to win. Contest Administration

By submitting an entry form, each participant agrees that Sponsor will solely resolve any Contest disputes and rules violations. Sponsor’s computer shall be the official clock of the Contest. All decisions by Sponsor regarding the Contest shall be final and binding in all respects. Any participant involved in collusion or cheating, as determined by Sponsor in its sole discretion, will be subject to disqualification from the Contest, without limitation to any other rights or remedies available to Sponsor. Predictions; Scoring

To enter, you must submit a prediction for each of the three (3) prompts listed below. Each correct prediction is worth ten (10) points. For the avoidance of doubt, your prediction must match the outcome exactly in order to receive any points. The "Max Score" is thirty (30) points.

  1. Player who will hit the longest 2021 regular season home run during the Contest Period (the "Longest Home Run"). Note the entry form will provide two (2) options for submitting your Player prediction: (a) a drop-down menu from which you may select a player and (b) a form field in which you may write in a player. If you write in a player, you must provide the player’s full first and full last name and you must spell the player’s name correctly. If you do not submit both first and last names in their entirety or you mis-spell the player’s name, your entry may be voided. Also note that if, based on official MLB game results, two or more MLB players tie for the Longest Home Run, contest entries that predicted any such tying player will be awarded ten (10) points.
  2. Distance (in whole numbers, measured in feet) of the Longest Home Run. Note that the distance prediction must be submitted in whole numbers, even though official MLB statistics may measure home runs in decimal numbers. For purposes of this Contest, Sponsor will round the decimal number distance of the Longest Home Run to the nearest whole number. For example, if the Longest Home Run is, according to official MLB statistics, 450.25, entries which predicted 450 will be awarded ten (10) points. For the avoidance of doubt, if the Longest Home Run’s measurement, according to official MLB statistics, includes .50 or half of a foot, Sponsor will round up. For example, if the Longest Home Run is 425.50, entries which predicted 426 will be awarded ten (10) points.
  3. Longest Home Run home run type (i.e., solo home run, two (2)-run home run, three (3)-run home run, or grand slam).

Subject to verification of eligibility and full compliance with these Official Rules, the eligible participant who receives the Max Score, as determined by Sponsor in its sole discretion based on official MLB results, will be deemed the winner of the Contest and Grand Prize (as defined below). In the event of a tie, the tiebreaker questions will be used to determine the winner, as described below. IF NO ELIGIBLE PARTICIPANT RECEIVES THE MAX SCORE, THE GRAND PRIZE WILL NOT BE AWARDED.

Tiebreakers

  1. "Tiebreaker One" will be applied first. The entrant who correctly predicted the date on which the Longest Home Run was hit will be deemed the winner of the first tiebreaker. For the avoidance of doubt, Tiebreaker One concerns the date on which the Longest Home Run is actually hit by the Player, regardless of the date attributed to the game in which the Longest Home Run was hit. For example, in the event of a game which begins on September 1, is suspended, and resumed on September 3, if the Longest Home Run is hit on September 3, Tiebreaker One will be won by the entrant who predicted September 3 (if any), even though MLB official game records will attribute the Longest Home Run to the September 1 game.
  2. If there is still a tie after Tiebreaker One is applied (including because no entry correctly predicted Tiebreaker One), "Tiebreaker Two" will be applied. The entrant who correctly predicted the inning during which the Longest Home Run was hit will be deemed the winner of second tiebreaker.
  3. In the event that the tie is still not broken after applying the two (2) tiebreakers above (including because no entry correctly predicted either tiebreaker), the Grand Prize will be divided equally among all tied, eligible participants.

Note that Contest scores will not be updated to reflect any official MLB statistics changes or corrections that occur after the conclusion of the Contest Period. Any such changes or corrections will not result in recalculating Contest scores.

One (1) Grand Prize

GRAND PRIZE (DEFINED BELOW) WILL ONLY BE AWARDED IF AN ELIGIBLE ENTRANT ACHIEVES THE MAX SCORE, AS DETERMINED BY SPONSOR, IN ACCORDANCE WITH THESE OFFICIAL RULES. IN NO EVENT WILL MORE THAN ONE (1) GRAND PRIZE BE AWARDED.

The winner, if any, will have the choice to receive either (a) Bitcoin transferred to the winner’s Blockfolio account (pre-existing or newly established) in an amount equivalent to USD$100,000 as of the time the transfer is initiated by the Prize Provider ("Crypto Grand Prize") or (b) a USD$100,000 cash prize paid by either the Prize Provider or Sponsor (as determined by Sponsor) as a lump sum check ("Cash Grand Prize"). Once the winner has chosen either the Crypto Grand Prize or the Cash Grand Prize, the winner cannot change their choice. The Crypto Grand Prize and Cash Grand Prize are each a "Grand Prize", and only one (1) Grand Prize will be awarded. The approximate retail value of the Grand Prize is $100,000 USD.

If, for any reason, the Prize Provider is unable to provide Bitcoin as the Crypto Grand Prize, or the winner is unable to establish a Blockfolio account as required herein, including because the winner resides in New York or another jurisdiction where Blockfolio accounts are not available, then, the winner will be provided the Cash Grand Prize instead.

In order to receive the Crypto Grand Prize, you must possess or establish a Blockfolio account within thirty (30) days of Prize Notification (as defined below). Blockfolio accounts are free to set up, but require you to provide Blockfolio with a copy of your government identification and/or your social security number and otherwise comply with Blockfolio’s account registration requirements, including with respect to geographic eligibility. To create a Blockfolio account, you must provide the required information as instructed by Blockfolio and complete Blockfolio’s required verification process. By creating a Blockfolio account, you agree to the applicable Blockfolio terms and conditions, currently accessible at: https://help.blockfolio.com/hc/en-us/articles/1260801826750-About-Trading-on-Blockfolio. If you do not agree to such terms and conditions, you cannot create a Blockfolio account.

Winner is not required to purchase any cryptocurrency or tokens or to otherwise make a purchase in order to establish a Blockfolio account.

CRYPTOCURRENCY VALUES CAN FLUCTUATE SUBSTANTIALLY, SUCH THAT LOSS OF VALUE (POSSIBLY ALL VALUE) COULD OCCUR AFTER THE CRYPTO GRAND PRIZE IS TRANSFERRED TO WINNER’S BLOCKFOLIO ACCOUNT. Winner acknowledges and agrees that the USD value of the Crypto Grand Prize received may be higher or lower than the USD value of the Crypto Grand Prize advertised. Winner will not be entitled to a check, cash, or other form of payment for any difference between USD$100,000 and the value of the Crypto Grand Prize at the time it is received by or accessible to the winner. Winner also acknowledges that exchanging Bitcoin for other currency (for example, United States or Canadian dollars or for another cryptocurrency) usually incurs a transaction fee that will reduce the amount of total funds available.

Grand Prize Conditions

Winner is fully responsible for any and all applicable federal, state, territory, provincial, and local taxes (including income and withholding taxes). Potential winner is advised to consult an accountant or tax professional to determine tax implications in accepting and using any Grand Prize. All costs and expenses associated with prize acceptance and use, including, without limitation, transferring, selling, liquidating, and/or converting cryptocurrency, that are not specifically included in the prize description above are the sole responsibility of the winner. The Grand Prize is non-transferable and non-assignable. Sponsor reserves the right to substitute the Grand Prize with one of comparable or greater value at its sole and absolute discretion.

Prize Notification and Winner Requirements

The potential winner will be notified on or about October 15, 2021 by email and/or telephone (in Sponsor’s discretion) and may (in Sponsor's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). In the event the potential winner does not respond to any such Prize Notification within five (5) calendar days of the date of issuance or declines the prize for any reason, a disqualification will result and the Grand Prize will be forfeited.

The potential winner will be required to submit his/her valid social security number and/or other government identification to Sponsor and/or Prize Provider. Except where legally prohibited, Sponsor reserves the right to conduct a background check on any potential winner and to disqualify any potential winner if Sponsor determines, in its sole discretion, that awarding the Grand Prize to such potential winner may reflect negatively on Sponsor, MLB, or any of the Released Parties (as defined below). Sponsor is under no obligation to disclose the results of any background check with the potential winner. The potential winner will be required to execute, have notarized, and return an Affidavit of Eligibility and Release of Liability and, unless prohibited by law, a Release of Publicity, within five (5) days of the date of issuance. Failure to submit any identification required by Sponsor, to respond to the Prize Notification or return any required documents within the applicable specified time period, to comply with these Official Rules, to be able to accept delivery of the Grand Prize (or any portion thereof), or to pass the background check for any reason in Sponsor’s sole discretion, may result in the potential winner’s disqualification and Grand Prize forfeiture. Subject to verification of eligibility and compliance with the terms of these Official Rules, the potential winner will be declared the official winner.

The winner will receive an IRS Form 1099 for any prize valued at $600 or greater.

General Conditions

Each participant agrees to allow Sponsor and its designees to use his/her name and likeness in any and all media or format now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification, or permission, unless prohibited by law. All applicable federal, state, territory, provincial, and local laws, rules, and regulations apply. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The MLB Entities, Apple., Inc., Blockfolio Inc., and each of their respective parent companies, trustees, subsidiaries, franchisees, assignees, affiliates, licensees, agents, independent contractors, telecasters, sponsors, licensees, advertising and promotional agencies, and each of their respective general and limited partners, members, shareholders, officers, directors, agents, employees, representatives, and contractors (collectively, the "Released Parties") shall not be responsible for lost, late, stolen, garbled, delayed, undelivered, or misdirected selections or entries or for incorrect, inaccurate, or incomplete entry information, whether caused by a participant, equipment, or technical malfunction, or for any human error, technical error, or malfunctions.

MLB game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable Club and may be subject to change. The Released Parties will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition.

THE MLB ENTITIES DO NOT OWN OR CONTROL ANY OF THE SOFTWARE PROTOCOLS THAT ARE USED IN CONNECTION WITH CRYPTOCURRENCIES PURCHASED, SOLD, OR TRANSFERRED THROUGH BLOCKFOLIO OR ANY OTHER EXCHANGE. SPONSOR AND THE MLB ENTITIES EXPRESSLY DISCLAIM ALL LIABILITY RELATING TO SUCH PROTOCOLS AND ANY PRICE FLUCTUATIONS IN CRYPTOCURRENCY, AND MAKE NO GUARANTEE REGARDING THE SECURITY, FUNCTIONALITY, OR AVAILABILITY OF SUCH PROTOCOLS.

Released Parties are not responsible for any technical, computer, network, typographical, printing, human, or other errors relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the submission or processing of entries, the tabulation of scores, the cancellation of games, or any errors appearing in any Contest related-materials, including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of the prize winner, or the distribution of the prize. Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.

The Released Parties make no warranties, express or implied, relative to the use or enjoyment of any prize (or any portion thereof), including, without limitation, its quality, merchantability, or fitness for a particular purpose. By participating in the Contest, each participant agrees to indemnify, hold harmless, and fully release the Released Parties from any and all claims, demands, losses, promises, causes of action, and/or liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest, Contest-related activity, participant's entry, or resulting from the acceptance, possession, quality, use, or misuse of any prize (or any portion thereof), including any travel or any activity related thereto.

Sponsor reserves the right, in its sole discretion, to modify, suspend, extend, or cancel the Contest (or any portion thereof) in the event Sponsor is prevented from executing the Contest as contemplated herein by any event beyond Sponsor’s control, including but not limited to: fire; flood; earthquake; explosion; public health epidemic or crisis; labor dispute or strike; act of God or public enemy; network or equipment failure; riot or civil disturbance; terrorist threat or activity; war (declared or undeclared); court order; or federal, state, or local government law, order, or regulation. Sponsor also reserves the right, in its sole discretion, to modify, suspend, extend, or cancel the Contest (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes or events corrupt administration, security, fairness, integrity, or proper operation of the Contest.

The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, wireless, Internet Service Provider (ISP) lines, computer systems, servers, or providers; malfunctions of or problems with computer equipment, software, wireless devices, wireless service, cellular tower equipment, or email; failure of entry to be received on account of technical problems or traffic congestion on the Internet or at any website; wireless service congestion; or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY PARTICIPANT RESPONSIBLE FOR THE ATTEMPT, AND SPONSOR AND/OR ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity or eligibility of any potential winner based on an email address, the winning entry will be declared made by the Authorized Account Holder of the email address submitted at the time of entry, provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person to whom the applicable ISP or other organization (such as a business or educational institution) has assigned the email address for the domain associated with the submitted email address.

In the event that the Contest is challenged by any legal or regulatory authority, Sponsor reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.

Arbitration; Class Action Waiver

As a condition of entering this Contest, each participant agrees that (A) any and all disputes, claims, controversies, or causes of action arising out of or relating to this Contest or any prizes awarded (each, a "Claim") shall be (1) arbitrated on an individual basis only, and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party, and (2) settled by binding arbitration in New York County, New York before a single arbitrator appointed by JAMS in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (B) under no circumstance will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses. For New Jersey residents, the limitations set forth above are inapplicable where attorneys' fees, court costs, or other damages are mandated by statute. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of New York, U.S.A, applicable to contracts entered into and performed exclusively in that State.

For winner information, send a self-addressed, stamped envelope to 2021 MLB Moonblasts Pick 'Em Winner List, MLB Advanced Media, L.P., 1271 Avenue of the Americas, New York, NY 10020. Attn: Promotions. Requests must be received within ninety (90) days of the close of the Contest Period.
