2014 MLB All-Star Red Carpet Show presented by Chevrolet ticket promotion -- Terms and Conditions

VOID OUTSIDE OF MINNEAPOLIS, MN AND WHERE PROHIBITED BY LAW. AFFIDAVIT OF ELIGIBILITY / RELEASE OF LIABILITY / AWARD ACCEPTANCE AGREEMENT MAY BE REQUIRED AT TIME OF AWARD NOTIFICATION. TICKET RECIPIENTS MUST BE PRESENT AT THE RED CARPET SHOW FOR CONSIDERATION IN THIS PROMOTION.

ELIGIBILITY: The 2014 MLB All-Star Red Carpet Show Presented by Chevrolet Ticket Promotion (the "Promotion") is open only to legal residents of the United States who are eighteen (18) years of age or older and in attendance at the Red Carpet Show in Minneapolis, Minnesota (as defined below). Employees, officers, and directors (and their immediate family members and members of the same household) of Major League Baseball Properties, Inc., The MLB Network, LLC, Major League Baseball Enterprises, Inc., MLB Advanced Media, L.P., the Office of the Commissioner of Baseball, and/or the Major League Baseball Clubs (the "MLB Entities") and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, advertising and promotion agencies, and any and all other companies associated with the Promotion, including General Motors, are not eligible to participate. Award For purposes of this Promotion, "immediate family members" are defined as spouse, domestic partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren, regardless of where they reside; and "members of the same household" are defined people who share the same residence at least three months a year, whether or not related. Void outside of Minnesota and where prohibited by law, rule or regulation.

HOW TO PARTICIPATE: The Promotion begins on or about 1:00 p.m. Central Time ("CT") on July 15, 2014 and ends on or about 3:00 p.m. CT on July 15, 2014 ("Promotion Period"). In order to be eligible to participate, you must attend the 2014 MLB All-Star Red Carpet Show Presented by Chevrolet in downtown Minneapolis ("Red Carpet Show") during the Promotion Period and show your passion for Major League Baseball and the All-Star Game through your attire and enthusiasm.

The decisions of Sponsor (defined below), including the interpretation of these Terms and Conditions, are final and binding on all matters relating to this Promotion. Those who do not follow all of the instructions or abide by these Terms and Conditions or other instructions of Sponsor may be disqualified.

AWARDS: There will be two (2) Awards awarded in this Promotion. The Ticket Recipients (defined below) will each receive two (2) tickets to the 2014 Major League Baseball All-Star Game at Target Field on July 15, 2014. The approximate retail value ("ARV") of each Award is four hundred dollars ($400). Exact Award details, including ticket seat location, shall be determined in the sole discretion of Sponsor. The tickets to the All-Star Game are subject in all respect to the terms and conditions set forth on the tickets and any requirements of the facility hosting the game. Awards are non-transferable, with no cash redemptions, equivalents or substitutions except at Sponsor's sole and absolute discretion. All Award details not specified in these Terms and Conditions will be determined in Sponsor's sole and absolute discretion. Ticket Recipients are strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the Award. Award details, ticket availability and MLB Entities' rules and restrictions are subject to change, and in the event that Sponsor is unable to provide a Ticket Recipient with his/her Award, the Sponsor, in its sole discretion, may elect to provide such Ticket Recipient with the ARV of such Award in cash or award an alternate award of comparable or greater value. Each Ticket Recipient and his/her guest must comply with all venue rules and regulations. Failure to do so may result in removal from the venue. In the event a Ticket Recipient (and/or his or her guest) engage in behavior that (as determined by Sponsor in its sole and absolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the Award experience early.

Ticket Recipients are solely responsible for any and all applicable federal, state and local taxes (including income and withholding taxes) on any Award, regardless of whether the Award, in whole or in part, is used. The ARV of the Award is based on available information provided to Sponsor and the value of any Award awarded to a Ticket Recipient may be reported by Sponsor for tax purposes as required by law. Ticket Recipients may be required to provide Sponsor with a valid social security number or tax identification number for tax reporting purposes before the Award will be awarded. All costs and expenses associated with Award acceptance and use not specified herein as being provided, including, but not limited to, lodging, transportation costs, meals, gratuities and other expenses incurred by accepting and/or using the Award are the sole responsibility of each Ticket Recipient. Each Ticket Recipient's guest that is invited to the All-Star Game by the Ticket Recipient (i.e., the individual that uses one of the Award tickets awarded) must be of legal age of majority in their jurisdictions of residence, unless accompanied by a parent or legal guardian.

All Awards are awarded "AS IS" and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) by Sponsor.

Ticket Recipients and guests may be photographed, videotaped and otherwise recorded by Sponsor during the Red Carpet Show, All-Star Game and/or in connection with this Promotion (collectively, "Footage"). Footage will be owned by Sponsor who has the right to use, edit, adapt, post, stream, copy and exploit such Footage and all elements thereof, including any names and likenesses embodied therein, on its websites and in any and all media now known or hereafter devised throughout the world, in perpetuity, for advertising, promotional, trade and other purposes with no additional notification or compensation to, or permission of, any Ticket Recipient or any third party. By accepting an Award, each Ticket Recipient agrees that his/her name or likeness and those of any of his/her guest may be included in the Footage and used by Sponsor, in its sole discretion. Ticket Recipients agree to and will help Sponsor retain necessary releases (as applicable) from his/her guest if requested by Sponsor to do so.

SELECTION OF TICKET RECIPIENTS: The potential ticket recipients ("Ticket Recipients") will be selected by a Sponsor representative based on how they demonstrate their love for Major League Baseball and the All-Star Game through their enthusiasm and attire. The selection of Ticket Recipients is at the sole discretion of the Sponsor and its representative, and all decisions are final. The potential Ticket Recipients will be notified in person at approximately 3:00 p.m. CT at the Red Carpet Show (the "Award Notification"). TICKET RECIPIENTS MUST BE PRESENT AT TIME OF AWARD NOTIFICATION IN ORDER TO WIN. Each potential Ticket Recipient, at the time of Award Notification, may be required to submit his/her valid social security number and/or other identification to Sponsor and may be required to execute, and return an Affidavit of Eligibility and Release of Liability and, unless prohibited by law, Publicity, before claiming the Award. Failure to submit any identification required by Sponsor or to return the required documents within the specified time period or noncompliance with these Terms and Conditions may result in disqualification and Award forfeiture and, at Sponsor's sole discretion and time permitting, an alternate potential Ticket Recipient may be chosen. If any potential Ticket Recipient is found to be ineligible, or if he or she has not complied with these Terms and Conditions, or if a potential Ticket Recipient cannot attend or participate in any portion of the Award, or declines an Award for any reason prior to award, such potential Ticket Recipient may be disqualified and an alternate potential Ticket Recipient may be selected.

WAIVER OF LIABILITY/PUBLICITY RELEASE: Each Ticket Recipient, by acceptance of Award, grants to Sponsor and each of its respective designees the right to publicize such Ticket Recipient's name, address (city and state of residence), photograph, voice, statements and/or other likeness and Award information for advertising, promotional and/or trade and/or any other purpose in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration or notification to, or permission of, such Ticket Recipient or any third party, unless prohibited by law.

GENERAL CONDITIONS: Sponsor shall have the sole right to disqualify any potential Ticket Recipient for violation of these Terms and Conditions or any applicable laws relating to the Promotion, and to resolve all disputes in their sole discretion. Sponsor (i) makes no warranty, guaranty or representation of any kind concerning any Award, and (ii) disclaims any implied warranty. By participating, each participant agrees: (a) to abide by these Terms and Conditions and decisions of Sponsor, which shall be final and binding in all respects relating to this Promotion; and (b) to release, discharge and hold harmless the MLB Entities and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from participant's participation in the Promotion or any Promotion-related activity or the acceptance, possession, use or misuse of any Award (or portion thereof), including any activity related thereto. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Promotion (or any portion thereof) should the security, fairness, integrity or proper operation of the Promotion (or any portion thereof) become compromised.

EVENT OF FORCE MAJEURE: In the event Sponsor is prevented from continuing with the Promotion or the playing of the All-Star Game by any event beyond its control, including, but not limited to, fire, torrential rain, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Promotion by any party, or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence) Sponsor shall have the right to modify, suspend or terminate the Promotion and the All-Star Game, and in such event, the Awards may not be awarded.

GOVERNING LAW / LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions or the rights and obligations of Sponsor or potential Ticket Recipients in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws.

JURISDICTION/VENUE: The parties each agree to finally settle all disputes in the exclusive jurisdiction and venue of the courts located in Hennepin County, Minnesota.

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Terms and Conditions or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Terms and Conditions or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Terms and Conditions will not constitute a waiver of that provision. Potential Ticket Recipients agree to waive any rights to claim ambiguity of these Terms and Conditions. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy or terms of use on an applicable website and/or these Terms and Conditions, the Terms and Conditions shall prevail, govern and control and the discrepancy will be resolved in Sponsor's sole and absolute discretion.
