2022 Toyota's Ultimate Royals Road Trip

SPONSOR: Sponsor of the Sweepstakes is the Kansas City Royals® Baseball Club, LLC ("Kansas City Royals"), One Royal Way, Kansas City, MO 64129 (the "Sponsor"). Kansas City Region Toyota Dealers Advertising Association is the prize supplier (the "Prize Supplier"). "Sponsor and their designees or agents" shall mean Sponsor, Prize Supplier, their respective advertising/promotional and/or fulfillment agencies, their respective parent companies, affiliates, subsidiaries, franchisees, and their respective employees, officers, directors and agents. The fulfillment of the Sweepstakes will be administered by the advertising/promotional and/or fulfillment agencies that have been retained by the Sponsor (the "Administrators").

ELIGIBILITY: The Sweepstakes is open to legal residents of the Royals Home TV Territory (defined above) who enter the Sweepstakes as indicated below, are U.S. licensed drivers, and are eighteen (18) years of age or older (or for Nebraska, nineteen (19) years of age or older) as of the date they enter. Void outside the Royals Home TV Territory and where prohibited or restricted by law, rule or regulation. The Sweepstakes is subject to all applicable federal, state and local laws. Employees of Sponsor, the other MLB Entities (defined below), Prize Supplier, Administrators, and their designees or agents or their parent companies, affiliates, subsidiaries, divisions, franchisees, and their advertising and promotional agencies and their respective officers, directors and agents (collectively, the "Sweepstakes Entities") and the immediate family members and persons living in the same household of each are not eligible to enter or win. Participation constitutes entrant's full and unconditional agreement to these Official Sweepstakes Rules and Sponsor's decisions and interpretations, which are final and binding in all matters related to the Sweepstakes. The "MLB Entities" shall mean the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. ("MLB"), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities.

SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00 p.m. Central Time ("CT") on June 14, 2022, and ends at 11:59 p.m. CT on July 28, 2022 (the "Sweepstakes Period"). The clock of the applicable Administrator is the Sweepstakes official clock. If MLB and/or the Kansas City Royals end the 2022 season early, such end date will be the end of the Sweepstakes Period. Neither the Kansas City Royals nor the Sweepstakes Entities guarantee any specific number of games during the Sweepstakes Period.

HOW TO ENTER: You may enter the Sweepstakes by visiting www.royals.com/toyotaultimateroadtrip or by clicking on the corresponding link in the MLB Ballpark App which redirects to the royals.com online form and providing all required information. No other method of entry will be accepted. Limit one (1) entry per person/email address. Additional entries beyond the specified limit will be void.

To enter on the MLB Ballpark App, during the Sweepstakes Period, visit the App Store or Google Play on your mobile device and download the MLB Ballpark App. You must sign up for an MLB account to use the MLB Ballpark App, but there is no cost to use the app. Once you have accessed the MLB Ballpark App, navigate to the KC Royals page and look for "Toyota's Ultimate Royals Road Trip Sweepstakes" under "Offers & Promos." Click on the "Toyota's Ultimate Royals Road Trip Sweepstakes" button to access the entry form for the Sweepstakes. By successfully transmitting a completed entry form through the MLB Ballpark App as directed or by entering through the above link, you will be entered in the Sweepstakes. All information submitted online by entrants is subject to, and will be treated in a manner consistent with, Major League Baseball's Terms of Use accessible at: mlb.com/tou and Privacy Policy accessible at: mlb.com/privacy. Entrants must fully complete and submit all non-optional data requested on the online entry form to be eligible. Incomplete and/or inaccurate entries are void. Entrants to the Sweepstakes may be given the option to receive (a) commercial email from Sponsor, Prize Supplier, and/or MLB and/or (b) mobile text messages and updates from Kansas City Royals or MLB; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's consent to receive such emails and/or mobile text messages and updates and consenting to receive such emails and/or mobile text messages and updates will not impact any entrant's chances of winning. No automated, photocopied or mass-produced entries are permitted. All entries become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned. Delivery of prizes requires a street address. Sponsor, Prize Supplier, and MLB Entities are not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, postage-due, misdirected, or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.

By entering, entrants agree to comply with these Official Sweepstakes Rules including all eligibility requirements. Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Sponsor and their designees or agents are not responsible for lost, late, mutilated, illegible, misdirected, mis-delivered, stolen, incorrect or incomplete entries or any error which may occur in the receipt or processing of the entries. Entrants assume all risks of the same. Sponsor and their designees or agents reserve the right to modify the scheduling of the Sweepstakes without prior notification.

WINNER SELECTION AND NOTIFICATION: One (1) potential Sweepstakes winner will be selected from a drawing held by an Administrator within ten (10) days of the end of the Sweepstakes Period from all eligible entries received during the Sweepstakes Period. Potential winner is subject to verification of eligibility and compliance with these Official Sweepstakes Rules within ten (10) days of notification. Failure to provide any required information within such ten (10) day period may result in forfeiture of potential winner's right to claim the prize and may result in the prize being awarded to an alternate winner, if time permits. Upon verification of eligibility, the prize will be coordinated with the winner at a mutually agreeable Kansas City-area Toyota dealership. The Sweepstakes Entities will not be held responsible for any delays in awarding a prize for any reason. If a potential winner is found to be ineligible, is not in compliance with these Official Sweepstakes Rules, declines to accept the prize (including any portion of a prize), or any winner notification is returned as undeliverable or the potential winner fails to respond to a winner notification within ten (10) days of receipt, or if a potential winner does not answer the initial telephone notification, the prize may be forfeited. If the prize is forfeited for any reason, a new potential winner will be drawn from the remaining entries.

PRIZE AND ODDS OF WINNING: The Administrator will randomly select one (1) winner for the Sweepstakes, who will win one (1) available prize package consisting of:

1. Use of a Toyota vehicle (model to be determined in Prize Supplier's sole discretion) for one (1) 96-hour period, as determined by the Sweepstakes Sponsor and Prize Supplier. Vehicle must be picked up at a Kansas City-area Toyota dealer, as mutually agreed upon. The depiction of any Toyota vehicle in any advertising or promotional materials or physical display may not reflect the actual vehicle to be provided to the winner. The winner is responsible for transportation to the KC Area Toyota Dealership selected by Sponsor to pick up the vehicle.
2. Lodging at a Kansas City Royals away game destination city, gasoline for travel to the away game destination city and meal allowance at away game destination city not to exceed $1,000. Sponsor will make all necessary arrangements for game, lodging and meal allowance.
3. Four (4) tickets for the winner and three (3) guests to each of two (2) Kansas City Royals 2022 regular season away games in the same destination city to be determined by the Sweepstakes Sponsor and Prize Supplier

The approximate retail value of the prize package is US $1,500. The odds of winning are one divided by the total number of eligible entries received.

PRIZE CONDITIONS: Prize will be issued by the Kansas City Royals and the Kansas City Region Toyota Dealers Advertising Association. Section and specifics of the tickets and meals to be awarded will be determined by the Sponsor, Prize Supplier, and their designees or agents. Prize to be awarded is subject to availability. Seat locations at the game and, unless stated otherwise in the 'Prizes and Odds of Winning' Section, exact game/event/exhibition date shall be determined in the sole discretion of Sponsor and Prize Supplier. Each winner's guest must be of legal age of majority in his/her jurisdiction of residence (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian. Use of any Major League Baseball game/event/exhibition ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket; see royals.com/ticketback for details. Major League Baseball game/event/exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club and may be subject to change. The terms and conditions of the tickets awarded as part of the prize will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Winner and his/her guest(s) agree to comply with all applicable ballpark and venue regulations in connection with the prize; see royals.com/ballpark for details. Sponsor and the other MLB Entities reserve the right to remove or to deny entry to the winner and/or his/her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Sweepstakes Entities (as defined above) will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture, and may invalidate the license granted by the game/event/exhibition ticket. If the Major League Baseball game associated with any prize awarded is cancelled or rescheduled for any reason, that portion of any prize to be awarded will be cancelled without any substitution or compensation given. Prizes are non-transferable and non-assignable. All prizes to be awarded are awarded "AS IS" and without WARRANTY OF ANY KIND, express or implied (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). Sponsor, Prize Supplier, and their designees or agents are not responsible for and will not replace any lost or stolen tickets or checks, or any grand prize payments. All prizes must be claimed no later than 10/01/2022 from the Kansas City Royals. No other prize or substitutions will be made (except that the Prize Supplier reserves the right to substitute prizes of equal or greater value). Prizes unclaimed after 10/01/2022 will be forfeited.

TAXES AND COSTS RELATED TO PRIZES: All applicable taxes, including all federal, state, local and other taxes and any license, destination and delivery charges are the sole responsibility of the prize winner. The winner will be issued a 1099 tax form for the actual value of any prize and may be required to complete additional forms such as an IRS Form W-9. Taxes will be withheld from any prize in excess of $600.

GENERAL CONDITIONS: By participating in this Sweepstakes, participants agree: (a) to be bound by these Official Sweepstakes Rules, the decisions of the Sponsor, the other MLB Entities and the Administrators which are final; (b) to release and hold harmless Sponsor, Prize Supplier, and their designees or agents, the Sweepstakes Entities and their respective franchisees, dealers, affiliates, employees and agents from any and all claims, demands, damages, losses, liabilities, costs or expenses, (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)) caused by, arising out of, or related to their participation in the Sweepstakes; acceptance, possession, or use of any prize; and/or their participation in any prize-related activities, including without limitation, any virus exposure while receiving a prize; and (c) to be contacted by Sponsor and/or Administrators via mail, e-mail, and/or telephone. By accepting any prize, the prize winner consents to the use of the winner's name and/or likeness (including his/her voice, biographical information, city and state of residence, statements, photograph, etc.) by Sponsor and Prize Supplier for advertising and promotional purposes without additional compensation (except where prohibited by law). Sweepstakes entrants and the winner acknowledge that they must sign an Affidavit of Eligibility and (where legal) Publicity Release prior to the acceptance of a prize as a condition to receiving any such prize. An entrant's entry constitutes permission to announce the winner of the Sweepstakes on the Royals Radio, Social Media and/or TV Network broadcasts. Sponsor and their designees or agents reserve the right to make changes, modifications or additions to these Official Sweepstakes Rules and/or extend and/or modify the dates of this Sweepstakes for any reason at any time. Any such changes, modifications or additions to the Official Sweepstakes Rules will become effective upon written amendment or announcement. Any failure by Sponsor and their designees or agents to enforce any term of these Official Sweepstakes Rules shall not constitute a waiver of any such provision.

DISPUTES: All entrants and Sponsor (together the "Parties") agree that: (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prizes awarded, shall be resolved in the following manner: (a) Negotiation - The Parties first shall use reasonable efforts to discuss and negotiate a resolution of the controversy; (b) Arbitration - If the efforts to negotiate a resolution do not succeed, the Parties shall resolve the controversy by final and binding arbitration in accordance with the Rules for Commercial Arbitration of the American Arbitration Association (the "Rules") and pursuant to the following additional provisions; (c) Applicable Law - The Parties agree that the internal laws of Missouri shall govern the construction of the terms and the application of the provisions of the Sweepstakes and that all disputes will be resolved in accordance with Missouri law; (2) Selection of Arbitrators - The Parties shall select one arbitrator within ten (10) days after the filing of a demand and submission in accordance with the Rules. If the Parties fail to agree on an arbitrator within that ten (10)-day period or fail to agree to an extension of that period, the arbitration shall take place before an arbitrator selected in accordance the Rules; (3) Location of Arbitration - The arbitration shall take place in Kansas City, Missouri, and the arbitrator shall issue any award at the place of arbitration. The arbitrator may conduct hearings and meetings at any other place agreeable to the Parties or, upon the motion of a party, determined by the arbitrator as necessary to obtain significant testimony or evidence; (4) Enforcement of Award - The prevailing party shall have the right to enter the award of the arbitrator in any court having jurisdiction over one or more of the Parties or their assets. The Parties specifically waive any right they may have to apply to any court for relief from any decision of the arbitrator made prior to the award; (5) Attorneys' Fees and Costs - The prevailing party to the arbitration shall have the right to an award of its reasonable attorneys' fees, costs, and expenses incurred after the filing of the demand and submission.

LIMITATION OF LIABILITY/GOVERNING LAW: All entrants agree that by entering the Sweepstakes they waive any and all rights to claim actual, punitive, incidental, and consequential damages, and any other damages, against Sponsor, Prize Supplier, and their designees or agents. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Sweepstakes Rules, or the rights and obligations of entrants and the Sponsor and their designees or agents in connection with this Sweepstakes shall be governed by, and construed in accordance with the laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Missouri or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than those of the State of Missouri. WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
