Angels Baseball Season Seat Terms and Conditions Effective 2022 Season

These Angels Baseball Season Ticket Terms and Conditions (the “STTC”), along with the Angels Ticket Back Language which can be found at www.angels.com/ticketback or on the back of Tickets (defined below) and which is incorporated herein by reference, as such may from time to time be amended and/or supplemented as set forth below, comprise the entire agreement between Angels Baseball LP (“Angels” or “Club”) and the Account Holder (defined below) and shall collectively be referred to herein as the “Agreement,” governing the Account (defined below), the purchase of any and all season seat licenses by the Account Holder from the Angels, and the use and transfer of tickets representing such seat licenses (the “Tickets”).

ACCOUNT AND ACCOUNT HOLDER

Each Ticket represents a grant of a limited, revocable license by the Angels to attend the baseball game listed on applicable Ticket. The “Account” sets forth the revocable license granted to the Account Holder to purchase the number of Tickets specified in the 2022 Season Ticket Invoice (the “2022 Invoice”) for the number of Los Angeles Angels of Anaheim (the “Team”) Pre-Season Exhibition Games and Regular Season Home Games during the 2022 regular season of the Major League Baseball (“MLB”) and the amounts payable by the Account Holder to the Angels as indicated on the 2022 Invoice. “Regular Season Home Games” means the regularly scheduled baseball games played by the Team at Angel Stadium of Anaheim (the “Stadium”). The Stadium and the surrounding areas including parking areas shall collectively be referred to herein as the “Venue.” “Pre-Season Exhibition Games” means the games between the Team and other MLB teams or other opponents played at the Stadium prior to the start of the 2022 regular season. Each Pre-Season Exhibition Game and Regular Season Home Game may also be referred to herein individually as a “Game” and collectively as “Games.”

  1. The “Account Holder” is the person of record listed on the Account as the primary contact. Only the Account Holder may make any changes on its behalf to the Account. The Account Holder must be a living adult individual or a legal business entity. The “Bearer” of the Ticket is the individual who actually uses the Ticket on the day of a Game. By tendering payment to the Angels, creating the Account, accepting Tickets, or redeeming Tickets for admission to any Game, Account Holder agrees on behalf of itself and each Bearer to all of the terms of the Agreement, and to be bound thereby. The Account Holder shall promptly notify the Angels in writing of any changes in its address, e-mail address, phone number, or Account status. By attending a Game (defined below), each Bearer agrees to be bound by the Agreement.
  2. The Account does not entitle the Account Holder to tickets for any Tie-Breaker Games, American League Wild Card Games, American League Division Series, American League Championship Series, or World Series (collectively, “Playoff Games”) or other events held at the Stadium (collectively the “Non-Season Events”). The Angels may, in its sole discretion, offer the Account Holder tickets to Non-Season Events through the Account, subject to any rules set forth by the MLB or the applicable Non-Season Event promoter, as applicable.
  3. The Account Holder may not assign or transfer in any manner, whether voluntarily by gift or bequest, or by operation of law, the Account or any rights Account Holder may have hereunder to any other person or entity without the prior written consent by the Angels, except that transfer of Tickets and the associated license to attend any of the Games, and restrictions thereon shall be governed by Section 29 through and including Section 32 hereof. Holder acknowledges and agrees that any unpermitted purported transfer, offer of transfer, or attempted transfer, of the Account or any rights of Account Holder hereunder, or of Tickets in violation of Section 32, shall be a material breach of the Agreement.
  4. In the event of a material breach by Account Holder, the Angels shall have the right, but not obligation, to terminate the Account. If the Account is terminated pursuant to this Section 5, the Account Holder shall pay the Angels liquidated damages in the amount equal to the balance remaining on the 2022 Invoice for the Account at the time of termination.
  5. Unless otherwise indicated, the 2022 Invoice is for a one-season term and will expire at the conclusion of the 2022 regular season. No right or obligation, including without limitation, to renew, is created for or conferred on Account Holder beyond the 2022 regular season; provided, however, that to the extent the 2022 Invoice is for multiple seasons, then the Agreement shall continue to apply past the 2022 regular season unless and until modified by the Angels, at which point such modifications shall apply. The Angels may renew season Ticket licenses in its sole discretion.
  6. The Angels may terminate the Agreement at any time upon providing written notification to Account Holder. Unless terminated due to a material breach by the Account Holder, the Angels shall return to the Account Holder the pro rata portion of the 2022 Invoice paid by the Account Holder for the remaining Regular Season Home Games, or, if a balance remains unpaid by the Account Holder, such balance shall be adjusted to reflect only the pro rata portion of the 2022 Invoice for the Regular Season Home Games that were originally scheduled to be played as of the date of termination.
  7. Account Holder may only terminate the Agreement and the Account by providing written notice to the Angels and surrendering all season Tickets for the Account to the ticket office no less than thirty (30) days prior to the first Pre-Season Exhibition Game of the 2022 season. Time is of the essence for any such termination.
  8. The Angels reserves the right to set a limit on how many season seat licenses an Account Holder may purchase.
  9. Absent prior written consent from the Angels, the Account and Tickets obtained by the Account Holder shall not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes.
  10. Account Holder agrees that the purchase of season seat licenses may, in the sole discretion of the Angels and subject to availability, include the opportunity to purchase preferred parking on terms and in locations determined by the Angels.
  11. Any dispute, claim, or cause of action arising out of or in any way related to the Agreement, including, but not limited, to Account Holder’s or Bearer’s attendance at any game or inability to attend a game, shall be settled by mandatory, confidential, final, and binding arbitration held in Orange County, California and administered by the American Arbitration Association in accordance with its then current commercial arbitration rules. Except as may be required by applicable law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties. None of the Account Holder Parties shall be entitled to (a) join or consolidate claims in arbitration against the Angels, other individuals or entities; (b) arbitrate as a representative member of a putative class; or (c) arbitrate in a private attorney general capacity. The arbitrator shall have the power to award any remedies available under applicable law. Any award or any judgment confirming it only applies to the arbitration in which it was awarded and cannot be used in any other case except to enforce the award itself.
  12. The Angels has the right to amend and/or supplement the Agreement by providing notice to the Account Holder.
  13. Notices to the Account Holder may be provided through mail or e-mail to Account Holder, or by posting on www.angels.com from time to time. Account Holder shall be responsible or reading and complying with all such amendments and supplements. The Angels shall not be responsible for losses, inconveniences, misinformation of Bearers, or other problems resulting from Account Holder’s failure to read information regarding its Account or the Agreement, including any amendments and/or supplements thereto posted on www.angels.com or because the information was mailed to a former or incorrect physical or e-mail address, that Account Holder failed to update or correct in accordance with Section 2 hereof.
  14. Notices to the Angels shall be mailed to: Angels Baseball: Post Office Box 61078, Anaheim, California 92803-6178, Attention: Ticket Office.

ASSUMPTION OF RISK RELATED TO PERSONAL INJURY AND/OR PROPERTY DAMAGE

  1. Account Holder agrees on behalf of itself and each Bearer and their respective successors, assigns, heirs, legal representatives, estates, and executors (collectively, the “Account Holder Parties”) that they voluntarily assume all risks and dangers incidental to attending a game of baseball including all personal or property injury or death, including, but not limited to, those (a) caused by or related to thrown, broken, batted, dropped, and/or launched balls, bats, other Game equipment, promotional items, persons or other items or projectiles, or fragments thereof; and (b) those caused by a third party including another baseball game attendee, whether occurring before, during, or after a Game. Account Holder agrees on behalf of the Account Holder Parties that the Angels, MLB, American League, the National League of Professional Baseball Clubs, participating Clubs, and their owners, directors, managers, officers, affiliates, parents, subsidiaries, representatives, agents, employees, partners, and trustees (collectively, the “Angels Parties”) are not liable for any such personal or property injuries, losses or death. If the Account Holder does not wish to or is not authorized to grant the foregoing rights, releases and waivers on behalf of minors, Account Holder agrees not to accompany any such minors or permit such minors to be accompanied into the Venue as Bearers.

GENERAL GAME DAY MATTERS

  1. Account Holder agrees on behalf of itself and each Bearer that they will adhere to the Angels’ food, beverage, cannabis and smoking policies at all times. The Angels reserves the right to revoke the license represented by any Ticket and remove Bearer or have Bearer removed from the Venue or to relocate Bearer’s seat location if the Bearer appears to be or is intoxicated, under the influence of illegal drugs, or engages in conduct deemed by the Angels in its sole discretion to be improper, disorderly or unbecoming, or uses vulgar or abusive language.
  2. The license to attend a Game does not include the license to attach, hang, and/or display signs, advertising, banners, or other notices at the Venue.
  3. The use of analog or digital audio, video, audiovisual, or image recording equipment is strictly prohibited.
  4. Account Holder agrees on behalf of itself and each Bearer that by tendering a Ticket to enter the Stadium, Bearer consents as a condition to entry into the Stadium, to the Angels’ or its designated agents’ security screening, whether by walk-through metal detection, handheld metal detection, person, clothing and/or bag checks, or otherwise. Account Holder hereby acknowledges and agrees, for itself and each Bearer, that the Angels Parties assume no liability to Account Holder’s or Bearer’s person or property as a result of any such security screening and Holder for itself and all Bearers waives any such related claims against the Angels Parties. The Angels reserves the right to require removal of all items the Angels deems, in its sole discretion, to be potentially injurious, inflammatory, or in any other way inappropriate.
  5. The Angels shall have the unrestricted right and license to use Bearer’s name, image, and/or likeness taken at the Venue as included in any broadcast, telecast, photograph, social media or in any other medium whether now known or hereafter devised.
  6. Each Ticket is good only for the Game listed on the front of the Ticket. No part of the purchase price will be refunded or exchanged because Account Holder or Bearer fails to use it for the designated Game. If a Game is postponed or is not officially completed, the Game Ticket shall remain valid for the rescheduled date of the Game, or may be exchanged for a subsequent Regular Season Home Game, subject to availability. Exchanges may be completed through the Account Holder’s account representative or at the box office at the Stadium for a Ticket of equal or lesser value, subject to availability. In the event a Game is cancelled and not rescheduled, the Account Holder may exchange the Ticket for a subsequent Regular Season Home Game (subject to availability), or surrender it for a refund. Refunds must be requested in writing within thirty (30) days of the announced cancellation without rescheduling of a Game.
  7. Some locations in row WC are designated as wheelchair-accessible locations and are reserved for guests who require such an accommodation. The Angels will provide full wheelchair-accessible seating in spaces or locations designated as such, and no seats will be permanently affixed at these locations. Up to three (3) additional companion seats contiguous to the wheelchair-accessible locations may be purchased. Additional companion seats may be movable or fixed chairs. Account Holder shall be responsible for communicating this policy to each Bearer. Should an individual who does not require the use of a wheelchair be the Bearer, the Angels may exchange wheelchair-accessible Tickets for alternate seat locations determined solely by the Angels, subject to availability.
  8. The Angels offers a limited amount of semi-ambulatory seating, designated in row SA for customers needing special accommodations who do not require the use of a wheelchair. Should an individual who does not require the use of a semi-ambulatory seat be the Bearer, the Angels may exchange semi-ambulatory Tickets for alternate seat locations determined solely by the Angels, subject to availability.
  9. The Angels is not responsible for lost, stolen, destroyed, or mutilated Tickets, or for Tickets left at another location. Tickets may be replaced at the sole and absolute discretion of the Angels for an additional cost, at a minimum cost of five dollars ($5) per Game. Stolen season Tickets will be replaced without charge only upon written request made by the Account Holder, accompanied by a written police report identifying the theft of the Tickets. In the event the Angels replaces any Ticket, the replacement Ticket will be honored over the original Ticket in all cases and the original Ticket will be null and void. In the event of recovery of any replaced Ticket, Account Holder shall promptly destroy such replaced Ticket. Account Holder shall indemnify and hold harmless the Angels from and against all claims, demands, actions and suits as the same may arise or be made against or incurred by the Angels or its successors or assigns, or to which the Angels or its successors or assigns may be subjected, or which the Angels or its successors or assigns may sustain, by reason of anyone other than the Account Holder, presenting to the Angels a Ticket that has been replaced in accordance with this Section 24, and claiming any right or interest by virtue of the replaced Ticket.

COVID-19 AND OTHER COMMUNICABLE DISEASES

  1. Account Holder agrees on behalf of itself and each Bearer, both now and in the future, that (i) each of them understands and expressly assumes the risk that any of them may be exposed to one or more communicable and/or infectious diseases, viruses (including, but not limited to, the coronavirus that causes COVID-19 disease and any strains, variants, or mutations thereof), and/or any other bacteria or illnesses or the causes thereof (collectively, “Communicable Diseases”); (ii) each of them expressly understands that these risks include contracting one or more Communicable Diseases and suffering the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting Communicable Diseases; and (iii) each of them acknowledges and understands that any interaction with the general public poses an elevated, inherent risk of being exposed to and contracting Communicable Diseases, that the Angels cannot guarantee that any of them will not be exposed, and that as such, potential exposure to or contracting Communicable Diseases are risks inherent in each of their decisions to use the Ticket that cannot be eliminated.
  2. Account Holder consents on behalf of itself and each Bearer to health screenings and other precautions related to Communicable Diseases that may be required by the Angels as a condition for use of Tickets, and/or entry into the Venue, including all recommendations, requirements, guidelines and restrictions imposed by the MLB while at the Venue, applicable federal, state, city and local authorities, the U.S. Centers for Disease Control (“CDC”), the California Department of Public Health, and any other regulatory body with authority over the Venue and/or the operations of the Angels, such as distancing requirements, temperature checks, and wearing of masks. Account Holder acknowledges and agrees that due to the evolving nature of the COVID-19 pandemic, the foregoing requirements may continue to be updated from time to time between purchase of Tickets and the Game date. Account Holder agrees on behalf of itself and each Bearer that in addition to requiring the foregoing precautions, the Angels may require each Bearer, as a condition of admission into the Stadium, (a) to present evidence of full vaccination against COVID-19 and any boosters applicable to the strains identified as circulating as of the date of a Game, satisfactory to the Angels in its discretion, and/or (b) of a negative COVID-19 test taken no earlier than forty-eight hours prior to a Game. The Angels may, as a courtesy for the convenience of Bearers, but shall not be required to, provide COVID-19 rapid testing facilities at the Venue. Any such rapid testing shall be paid for by the Bearer and shall be in addition to the cost of the Ticket.
  3. Account Holder agrees that the specific seat locations licensed to the Account may need to be relocated, or may be totally unavailable, as a result of federal, state, city and local authority requirements relating to Communicable Diseases, such as social distancing requirements or capacity limitations. Should the specific seat locations licensed to the Account Holder be unavailable, Account Holder will be provided options, in the Angels’ discretion, such as relocation, fulfillment deferral or other options.
  4. Account Holder acknowledges and understands, on behalf of itself and each Bearer, that if infected with COVID-19 or other Communicable Disease, Bearers may infect others that they may subsequently come in contact with, even if they are not experiencing or displaying any symptoms of illness, and that the risk of exposure to others remains at all times. Accordingly, Account Holder agrees that no individual shall be a Bearer if within fourteen (14) days preceding a Game, such individual (a) tested positive or presumptively positive for COVID-19 or other Communicable Disease or been identified as a potential carrier of COVID-19 or other Communicable Disease; (b) experienced any symptoms commonly associated with COVID-19 or other Communicable Disease; (c) was in direct contact with or was within the immediate vicinity of any individual who is confirmed or suspected of being infected with COVID-19 or other Communicable Disease; or (d) traveled to a country that is subject to a U.S. State Department Level 4 “Do Not Travel” health advisory or a CDC Level 3 Travel Health Notice.

TICKETS AND TICKET TRANSFER RESTRICTIONS

  1. The Angels may provide or partner with an electronic ticket resale and/or transfer system or website or mobile application based ticket management system (the “System”). Any and all use of the System is subject to the Agreement and the terms and conditions of the System. The Angels reserves the right to suspend, modify, replace disassociate and/or cancel the System at any time in its sole discretion. The Angels reserves the right to suspend or terminate Account Holder’s access to electronically post for sale and forward Tickets and/or to revoke Account Holder’s Account if Account Holder violates the Agreement or the terms and conditions of the System. For more information, see Ticket Transfer Restrictions below.
  2. The Angels reserves the right, in its sole discretion, (a) to set the price parameters for Tickets listed for sale or transfer on the System; (b) to limit or restrict the use of the System for electronic forwarding or transfer (“E-Functions”) of Tickets associated with the Account if, in the Angels’ sole discretion, such E-Functions options are being used to circumvent the Agreement or other terms and conditions governing the Account; and (c) in lieu of limiting or restricting the use of the System for E-Functions, to institute a fee for each E-Function used by the Account Holder on the Account.
  3. The Angels does not consent to the resale of seats in Diamond Club Table locations at any time or by any means.
  4. Ticket Transfer Restrictions:

i. Each individual or entity purchasing, acquiring or using a Ticket expressly acknowledges and agrees that the Club sells Tickets to a Game at the Stadium for the purpose of permitting that individual or entity, or any subsequent recipient of a Ticket pursuant to a Permitted Transfer (each, a “ Permitted Transferee” and collectively with the Account Holder, the “Permitted Holder”), to attend the Game represented by the Ticket. As such, each Permitted Holder acknowledges to the Club that unpermitted transfers of Tickets in violation of these Ticket Transfer Restrictions may result in termination or revocation of the revocable license granted by the Club represented by the Tickets and constitute a basis for seizure and/or cancellation of the Tickets without refund or other compensation.

ii. For purposes of the Club’s Ticket Transfer Restrictions, the following defined terms shall apply:

a. “Transfer(s)” shall mean any transfer of possession or use of a Ticket(s) to an individual or entity.

b. “Permitted Transfer” shall mean a Transfer that is authorized by or specifically exempted from these Ticket Transfer Restrictions.

c. “Non-Permitted Transfer” shall mean a Transfer specifically prohibited or determined by the Club to be unauthorized under these Ticket Transfer Restrictions.

d. “Resale” or “Resell” shall mean any Transfer of a Ticket in exchange for money or any other thing of value.

e. “Excess Value” shall mean the monetary value derived from the Resale of a Ticket above the price paid to purchase the Ticket from the Club, including any tax and service or convenience fees/charges. Any Account Holder who needs assistance in determining the actual price of a Ticket may contact the Club to obtain such information.

f. “Broker Activity” shall mean any activity by an individual or entity to purchase or otherwise acquire a Ticket with the purpose or intent, as determined by the Club, to Resell the Ticket, including but not limited to, the intent to realize Excess Value, as determined by the Club in its sole discretion. Broker Activity shall not include the use of a Ticket for any charitable or non-profit purpose.

iii. By the accepting, possessing or using a Ticket, each Permitted Holder acknowledges and agrees to the following:

a. Any Broker Activity involving a Ticket, as determined in the sole discretion of the Club, is a Non-Permitted Transfer unless specifically approved by the Club, and shall constitute a basis for (i) termination or revocation of the revocable license granted by the Club represented by the Ticket; (ii) seizure or cancellation of the Ticket without refund or other compensation; and/or (iii) termination or revocation of the revocable license granted by the Club represented by all Tickets that are owned or under the control of such Permitted Holder and other individuals or entities determined by the Club to be associated with such Permitted Holder. The Club has designated StubHub ticket marketplace (“StubHub”) as its authorized Ticket resale platform, to ensure the authenticity and legitimacy of Resale Transfers. The Club is unable to ensure the security and authenticity of Resale Transfers occurring outside of StubHub. Therefore, Permitted Holders agree that they may resell a Ticket on a publicly available, secondary ticket marketplace exclusively on StubHub, accessible at www.Angels.com or www.stubhub.com. Any Resale or attempted Resale of a Ticket on a publicly available, secondary ticket marketplace other than StubHub is a Non-Permitted Transfer and may constitute a basis for (i) termination or revocation of the revocable license granted by the Club represented by the Tickets; (ii) seizure or cancellation of the Ticket without refund or other compensation; and/or (iii) termination or revocation of the revocable license granted by the Club represented by all Tickets that are owned or under the control of such Permitted Holder and other individuals or entities determined by the Club to be associated with such Permitted Holder.

b. Any Resale or attempted Resale of a Ticket inside the Venue is strictly prohibited, and any person who Resells or offers a Ticket for Resale at any price inside the Venue will be removed from the Venue and may be prosecuted.

iv. Tickets may be sold, gifted, or transferred to registered Ticket account partners (“Registered Share Partners”) at any time. All Registered Share Partners shall be identified on and registered through the Account, and shall be subject to all terms and conditions governing Tickets associated with the Account.

v. For the avoidance of doubt with respect to the application of these Ticket Transfer Restrictions, the following are considered to be Permitted Transfers:

a. Ticket Transfer activity involving the exchange of Tickets among a Permitted Holder, its Registered Share Partners, and their family members, friends, or associates so long as the Club determines there was no intent to realize Excess Value regardless of the frequency of the Transfers.

b. Resale of Tickets on StubHub where the purpose for the sale, as determined by the Club in its sole discretion, was unrelated to Broker Activity.

vi. The Club reserves the right to revoke or terminate the revocable license represented by Tickets granted to an Account Holder without any refund or compensation if, in the Club’s sole discretion, the Account Holder or Registered Share Partner violates the Agreement or any other terms and conditions applicable to the Tickets, acts in any manner that in the opinion of the Club could negatively affect the experience of any other person at the Venue or viewing the Game in person or remotely, or violates other policies and regulations of the Club.

vii. FOR CLARIFICATION, TICKETS PURCHASED AS PART OF A SUITE ORDER OR GROUP ORDER ARE NOT ELIGIBLE FOR RESALE AT ANY TIME. Resale of Suite and/or Group Tickets may result in termination or revocation of the revocable license represented bv such Tickets.

viii. Notwithstanding the provisions of these Ticket Transfer Restrictions with respect to Broker Activity, the Club may, in its sole discretion, permit certain Account Holders to engage in Broker Activity. If an Account Holder is permitted by the Club to engage in Broker Activity, the Account Holder and all other parties deemed necessary by the Club (collectively the “Broker Parties”) must agree to be bound by certain additional terms and conditions, set forth in a separate written agreement among the Club, the Account Holder and the Broker Parties.

FORCE MAJEURE EVENTS

  1. Notwithstanding anything to the contrary in the Agreement, in the event of a Force Majeure Event (defined below), this Section 33 shall apply. A “Force Majeure Event” shall mean any riot, war, terrorism, or rebellion, fire, flood, severe storm, accident, pandemic, epidemic, state of emergency (national, state or local), declaration, order or rule of the Office of the Commissioner of MLB, other act of God, other event beyond the control of the Angels, a player strike, management lockout, walk out, postponement or any other work stoppage. If a Force Majeure Event makes it impractical or impossible for the Team to play any Pre-Season Exhibition Game or Regular Season Home Game, or causes the postponement or cancellation of one or more of such Games scheduled to take place at the Stadium, or if such Force Majeure Event otherwise renders any seat licensed to Account Holder unusable or prevents the Angels from providing any other product or service under this Agreement on commercially reasonable terms in the Angels’ sole discretion, then the Angels’ obligations under the Agreement shall be suspended during the period of such inability, and such inability shall not be deemed a breach of the Agreement by the Angels. If, as a consequence of such Force Majeure Event, (a) the Team’s home Games are postponed and not rescheduled to be played during the 2022 season (i.e., cancellation as confirmed by the Office of the Commissioner of the MLB) or (b) patrons are not permitted to attend Games in person, the fees payable under the Agreement for such season shall be abated for each such Game that is not rescheduled on a pro-rata basis (based on the number of home Games scheduled for the applicable season) and, at the election of Account Holder, either (x) applied as a credit towards future payment obligations of Account Holder hereunder or (y) at the direction of Account Holder (as evidenced by a written and signed request) refunded within 60 days of the confirmed cancellation of games by the Office of the Commissioner of the MLB or within 90 days of the date of the originally scheduled Game in the case of a prohibition on patrons attending Games in person. The remedies set forth in the immediately preceding sentence shall be the exclusive remedies for any cancelled Game or for being deprived of access to the Stadium due to a Force Majeure Event.

Angels Baseball Season Seat Terms and Conditions Effective 2021 Season

This Season Ticket Terms and Conditions (the “SSH Terms”) govern the Account (defined below) as well as the purchase of any and all season seat licenses by the holder of the account (“Account Holder”) from Angels Baseball LP (“Angels” or “Club”). The purchase of all season seat licenses, as well as the use and transfer of tickets (“Tickets”) are expressly subject to and governed by these SSH Terms. In addition to these SSH Terms, the purchase and use of all Tickets are expressly subject to Angels Ticket Back Language which can be found at www.angels.com/ticketback; a portion of which is duplicated below.

  1. Each Ticket is a grant of a limited, revocable license by Angels to attend the baseball game listed on applicable Ticket. The "Account" is the revocable license granted to the Account Holder to purchase the number of Tickets specified in the 2021 Season Ticket Invoice (the “2021 Invoice”) for the number of Los Angeles Angels of Anaheim (the "Team") Pre-Season Exhibition games and Regular Season home games during the seasons specified on the 2021 Invoice. The Account further includes the amounts payable by the Account Holder to Angels as indicated on the 2021 Invoice. The terms of the Account are contained in these SSH Terms, on each Ticket, and at www.angels.com/ticketback. “Regular Season Game” shall mean the regularly scheduled baseball games played by the Team at Angel Stadium of Anaheim (the “Stadium”). “Pre-Season Exhibition Game” shall mean the games between the Team and Major League Baseball or other opponent(s) played at the Stadium prior to the start of the Regular Season. Pre-Season Exhibition Games and Regular Season Games are sometimes collectively referred to as a “Game” or the “Games”.
  2. The Account Holder must be a living adult individual or a legal business entity. The "Bearer" of the Ticket is the person who actually uses the Ticket on the day of a Game.
  3. The Account Holder is the person of record listed on the Account as the primary contact. Only the Account Holder is allowed to make any changes to the Account. Account Holder is also obligated to promptly notify the Angels in writing of any changes in address, phone number, or Account status.
  4. The Account does not entitle the Account Holder to tickets for any Tie-Breaker Game(s), American League Wild Card Game(s), American League Division Series (“ALDS”), American League Championship Series (“ALCS”) or World Series (collectively, “Playoff Games”) or other events held at the Stadium (collectively the “Non-Season Events”). The Angels may, in their sole discretion, offer tickets to the Account Holder, through the Account, for Non-Season Events, subject to any rules set forth by Major League Baseball or the applicable Non-Season Event promoter, as applicable.
  5. Absent express, written consent from the Angels, the Account and tickets obtained by the Account Holder shall not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes.
  6. The Account and any rights Account Holder may have hereunder shall not be assigned or transferred in any manner, whether voluntarily or by gift, bequest, or operation of law, by the Account Holder to any other person or entity without express written consent from Angels. Tickets provided to Account Holder as part of the Account, and the associated license to attend any of the Games, may not be sold, assigned, hypothecated, or in any manner transferred without the express written consent of Angels. In the event of any purported transfer, offer of transfer, or attempted transfer, Angels have the right, but not the obligation, to terminate this Agreement and the Account by providing written notice to Account Holder and tendering the remaining pro rata portion of the amount paid by Account Holder within a reasonable time after providing such notice.
  7. Parties agree it is a material breach of this Agreement for Account Holder to complete or attempt to sell, trade, forward, or otherwise transfer to a third party ticket broker, agency, or individual who purchases, sells, and/or otherwise transfers Account Tickets without the express written consent of Angels.
  8. In the event of a material breach by Account Holder, Angels shall have the right, but not obligation, to terminate the Account as a result of any purported violation of these Terms. In the event that Angels terminate the account under this paragraph, Account Holder agrees to pay the Angels liquidated damages in the amount equal to the balance remaining on the 2021 Invoice for the Account at the time of termination.
  9. The Angels may provide or partner with an electronic ticket resale and/or transfer system or website or mobile application based ticket management (the “System”). Any and all use of the System is subject to the terms and conditions associated with the Account and with accessing said System. The Angels reserve the right to suspend, modify, replace disassociate and/or cancel the System at any time in their sole discretion. The Angels reserve the right to disengage Account Holder’s access to electronically post for sale and forward Tickets or revoke Account Holder’s Account if the Account and/or System Terms & Conditions are violated. For more information, see Ticket Transfer Restrictions, below.
  10. The Angels reserve the right to limit or restrict the use of the System for electronic forwarding or transfer (“E-Functions) of Tickets associated with the Account if, in the Angels sole discretion, such E-Functions options are being used to circumvent this Agreement and/or the terms and conditions governing the Account. The Angels further reserve the right, in its sole discretion, to set the price parameters for ticket licenses that are listed for sale or transfer on the System. Further, in lieu of limiting or restricting the use of the System for E-Functions of ticket licenses, Angels reserves the right to institute a fee for each E-Function used by the Account Holder on the Account (“E-Function Fees”).
  11. The Angels do not consent to the resale of seats in Diamond Club Table locations at any time or by any means.
  12. Unless otherwise indicated, the 2021 Invoice is for a one-season term and will expire at the conclusion of the season in which Tickets are purchased. No rights or obligations, including without limitation, renewal are created or conferred on either party beyond the term of 2021 Invoice; however if the 2021 Invoice is for multiple seasons then this SSH Terms will apply unless they are modified, in which case such modification will apply . Season ticket licenses are issued and may be renewed in the sole discretion of the Angels.
  13. Angels may terminate this agreement at any time upon providing written notification to Account Holder. Within a reasonable time after termination, Angels shall return the pro rata portion of the license fee for the remaining home games in the term to the Account Holder.
  14. Account Holder may only terminate this Agreement and the Account by providing written notice to Angels and relinquishing all season Tickets for the Account to the ticket office no less than thirty (30) days prior to the first Pre-Season Exhibition game at the Stadium of the 2021 season. Time is of the essence for any such termination.
  15. The Angels shall reserve the right to set a limit on how many season seat licenses an Account Holder may purchase.
  16. The Angels are not responsible for lost Tickets, stolen Tickets, or Tickets left at another location. Tickets may be replaced at the sole discretion of the Angels for an additional cost, at a minimum cost of five dollars ($5) per game. Stolen season Tickets will be replaced without charge only upon written request made by the Account Holder, accompanied with a police report identifying the theft of the Tickets. In the event the Angels replace any ticket, the replacement ticket will be honored over the original ticket in all cases and the original ticket will be null and void.
  17. Account Holder agrees that the purchase of season seat licenses may, in the sole discretion of the Angels and subject to availability, include the opportunity to purchase preferred parking on terms and in locations determined by the Angels.
  18. Account Holder agrees on behalf of them self and each Bearer to voluntarily assume all risks and dangers incident to attending a game of baseball including all personal or property injury or death caused by or related to thrown, batted, dropped, and/or launched balls, bats, promotional items, or other projectiles, whether occurring before, during, or after the game. Account Holder agrees on behalf of them self and each Bearer that the Angels, Major League Baseball, American League, the National League of Professional Baseball Clubs, participating Clubs, and their agents, employees, owners, partners, trustees, and related entities are not responsible for any such injuries.
  19. Any dispute, claim, or cause of action arising out of or in any way related to these terms and conditions, including, but not limited, to account holder’s or bearer’s attendance at any game, shall be settled by mandatory, confidential, final, and binding arbitration held in Orange County, California and administered by the American Arbitration Association in accordance with its then-current commercial arbitration rules. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties. Neither holder, bearer, nor Angels shall be entitled to join or consolidate claims in arbitration for or against other individuals or entities, or arbitrate as a representative member of a putative class or in a private Attorney General capacity. The arbitrator shall have the power to award any remedies available under applicable law. Any award or any judgment confirming it only applies to the arbitration in which it was awarded and cannot be used in any other case except to enforce the award itself.
  20. Account Holder agrees on behalf of them self and each Bearer that they will adhere to the food, beverage, and smoking policies at all times.
  21. The license to attend the game does not include the license to attach, hang, and/or display signs, advertising, banners, or other notices in the Stadium.
  22. By attending the game, each Bearer agrees to be bound by all terms listed on the back of the ticket as well as terms posted at www.angels.com/ticketback, all of which are incorporated herein by reference.
  23. Each ticket is good only for the Event listed on the front of the ticket. No part of the purchase price will be refunded or exchanged because Account Holder or Bearer fails to use it for the designated Event. If the Event is postponed or is not officially completed, the Event ticket is valid for the rescheduled date of the Event, or for exchange to a subsequent Regular Season Game (subject to availability). Exchanges may be completed through the Account Holders account representative or at the box office at the Stadium for a ticket of equal or lesser value, subject to availability. In the event of a cancellation of the Event without rescheduling, the Account Holder may exchange the ticket for a subsequent Regular Season Game (subject to availability), or a refund. Refunds must be requested within thirty (30) days of the announced cancellation of the Event.
  24. Account Holder consents on behalf of them self and each Bearer that the Angels or their designated agents may search the person, bags, clothing, and other articles prior to entry into the Stadium. The Angels reserve the right to require removal of all items the Angels deem, in their sole discretion, to be potentially injurious, inflammatory, or in any other way inappropriate.
  25. COVID-19 AND COMMUNICABLE DISEASES:

i. Account Holder agrees on behalf of them self and each Bearer, both now and in the future, that (i) each of them understand and expressly assume the risk that any of them may be exposed to COVID-19 (as defined by the World Health Organization) and any strains, variants, or mutations thereof, the coronavirus that causes COVID-19, and/or any other communicable and/or infectious diseases, viruses, bacteria or illnesses or the causes thereof (collectively, “Communicable Disease”); (ii) each of them expressly understand that these risks include contracting COVID-19 or other Communicable Disease and the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting COVID-19 or other Communicable Disease; (iii) each of them acknowledge and understand that any interaction with the general public poses an elevated, inherent risk of being exposed to and contracting Communicable Disease, including, but not limited to, COVID-19, that it cannot be guaranteed that any of them will not be exposed, and that as such, potential exposure to or contraction of COVID-19 or other Communicable Disease are risks inherent in each of their decision to use the Ticket that cannot be eliminated; (iv) each of them acknowledge and understand that, if infected with COVID-19 or other Communicable Disease, they may infect others they subsequently come in contact with, even if they are not experiencing or displaying any symptoms of illness, and that the risk of spreading COVID-19 or other Communicable Disease to others remains at all times.

ii. Account Holder consents on behalf of them self and each Bearer to health screenings and other precautions related to COVID-19 or other Communicable Disease that may be required as a condition for use of this ticket, including all precautions required by the league and the Club while at the Ballpark or surrounding grounds or parking areas, such as, but not limited to, distancing requirements and the wearing of masks in designated areas.

iii. Account Holder agrees that the specific seat locations licensed to the Account may need to be relocated, or may be totally unavailable, as a result of Federal, State, County, or local requirements relating to COVID-19 or Communicable Diseases (such as social distancing requirements or capacity limitations). Should the specific seat location(s) licensed to the Account be unavailable, Account Holder will be provided options, in the sole discretion of ABLP, such as relocation, fulfillment deferral or other options offered by Angels.

  1. Some locations with row WC are designated as wheelchair-accessible locations and are reserved for guests who require such an accommodation. Angels will provide full wheelchair accessible seating in spaces or locations designated as such and no permanent fixed chair will be provided for these locations. Further, up to three additional companion seats contiguous to the wheelchair location or companion location may be purchased. Additional companion seats may be movable or fixed chairs. It is the responsibility of the Account Holder to communicate this policy to each Bearer. Should an individual who does not require the use of a wheelchair use the ticket, the Angels may exchange wheelchair accessible game Tickets for alternate seat locations determined solely by the Angels, subject to availability.
  2. The Angels offer a limited amount of semi-ambulatory seating, designated in row SA for customers needing special accommodations who do not require the use of a wheelchair. Should an individual who does not require the use of a semi-ambulatory seat be the Bearer, the Angels may exchange semi-ambulatory game Tickets for alternate seat locations determined solely by the Angels, subject to availability.
  3. The use of analog or digital audio, video, audiovisual, or image recording equipment is strictly prohibited.
  4. Account Holder agrees on behalf of them self and each Bearer to all the terms of the license contained herein.
  5. By tendering a payment to the Angels, creating the Account, accepting Tickets, or redeeming any Tickets for admission to any Angels Game, Account Holder expressly agrees to be bound by these terms and conditions.
  6. The Angels have the right to amend or supplement the terms and conditions contained herein by providing written notice to Account Holder.
  7. Information about, and/or revisions or amendments to the Account Terms and this Agreement may be posted on www.angels.com from time to time. It is the responsibility of Account Holder to read and comply with all information. Angels are not responsible for problems, misinformed Bearers, losses or inconveniences experienced because Account Holder did not read information sent regarding the Account or this Agreement or because the information was mailed to a former or incorrect physical or e-mail address.
  8. Any written notices to Account Holder shall be mailed to the address or emailed to the email address on the Account.
  9. Any written notices to Angels shall be mailed to: Angels Baseball: Post Office Box 61078, Anaheim, California 92803-6178, Attention: Ticket Office
  10. TICKET TRANSFER RESTRICTIONS:

i. Each individual or entity purchasing, acquiring or using a Ticket expressly acknowledges and agrees that the Club sells Tickets to a Game or an event at the Ballpark for the purpose of permitting that individual or entity, or any subsequent Holder receiving a Permitted Transfer of such Ticket to attend the Game or event represented by the Ticket. As such, each individual or entity that purchases, acquires or uses a Ticket acknowledges to the Club that non-permitted transfers of Tickets (the "Ticket Transfer Restrictions") may terminate the Revocable License granted by the Club for the usage of Ticket(s) or constitute a basis for the seizure or cancellation of the Ticket(s) without refund or other compensation.

ii. For purposes of the Club's Ticket Transfer Restrictions the following defined terms shall apply:

a. "Transfer(s)" shall mean any transfer of possession or use of a Ticket(s) by a Holder to a third party (in each instance whether such third party is a person or entity).

b. "Permitted Transfer" shall mean a Transfer that is authorized by or specifically exempted from these Ticket Transfer Restrictions.

c. "Non-Permitted Transfer" shall mean a Transfer specifically prohibited or determined by the Club to be unauthorized under these Ticket Transfer Restrictions.

d. "Resale" or "Resell" shall mean any Transfer of a Ticket in exchange for money or any other thing of value.

e. "Excess Value" shall mean the monetary value derived from the Resale of a Ticket or Tickets above the price paid to purchase the Ticket(s) from the Club, including any tax and service or convenience fees/charges. Any Holder who needs assistance in determining the actual price of a Ticket may contact the Club to obtain such information.

f. "Broker Activity" shall mean any activity by an individual or entity to purchase or otherwise acquire Ticket(s) with the purpose or intent, as determined by the Club, to Resell the Ticket(s), including but not limited to the intent to realize Excess Value, as determined by the Club in its sole discretion. Broker Activity shall not include the use of a Ticket for any charitable or non-profit purpose.

iii. By the acceptance, possession or use of a Ticket(s), each Holder (regardless of whether such Holder is the original purchaser from the Club or an acquirer of the Ticket(s) from a third party), acknowledges and agrees to the following:

a. Any Broker Activity involving a Ticket, as determined in the sole discretion of the Club, is a Non-Permitted Transfer unless specifically approved by the Club, and shall constitute a basis for (i) termination of the Revocable License granted by the Club for the use of the Ticket, (ii) the seizure or cancellation of the Ticket without refund or other compensation, and/or (iii) termination of the Revocable License granted by the Club of all Tickets that are controlled by or affiliated with such Holder or individuals/entities determined by the Club to be associated with such Holder.

b. The StubHub ticket marketplace ("StubHub") has been approved by Club as the designated ticketing resale platform, in order to ensure the authenticity and legitimacy of Resale Transfers. Club is unable to ensure the security and authenticity of Resale Transfers occurring outside of Stubhub. Therefore, any Resale or attempted Resale of a Ticket by a Holder on a publicly available, secondary ticket marketplace shall occur exclusively on StubHub accessible at www.Angels.com or www.stubhub.com. Any Resale or attempted Resale of a Ticket on a publicly available, secondary ticket marketplace other than StubHub is a Non-Permitted Transfer and may constitute a basis for (i) termination of the Revocable License granted by the Club for the usage of the Tickets, (ii) the seizure or cancellation of the Ticket without refund or other compensation, and/or (iii) termination of the Revocable License granted by the Club of all Tickets that are controlled by or affiliated with such Holder or individuals/entities determined by the Club to be associated with such Holder without refund or other compensation.

c. Any Resale or attempted Resale of a Ticket inside the Ballpark is strictly prohibited, and any person who Resells or offers a Ticket for Resale at any price inside the Ballpark will be removed from the Ballpark and may be prosecuted.

iv. Tickets may be sold, gifted, or transferred to registered Ticket account partners ("Registered Share Partners") at any time. All Registered Share Partners shall be identified and registered through the Holder's Los Angeles Angels account ("Account"), and shall be subject to the terms and conditions applicable to the Tickets and the Account.

v. For the avoidance of doubt with respect to the application of these Ticket Transfer Restrictions, the following are considered to be Permitted Transfers:

a. Ticket Transfer activity involving the exchange of Tickets amongst the Holder and Registered Share Partners, together with their family members, friends, or associates so long as the Club determines there was not intent to realize Excess Value regardless of the frequency of the Transfers.

b. The Resale of a Ticket(s) on StubHub where the purpose for the sale, as determined by the Club in its sole discretion, was unrelated to Broker Activity.

vi. The Club reserves the right to revoke or terminate the Revocable License for Tickets granted to a Holder without any refund or compensation if, in the Club's sole discretion, a Holder or Registered Share Partner violates the terms of this Agreement, acts in any manner that in the opinion of the Club could negatively affect the experience of any other person at the Ballpark, or violates other policies and regulations of the Club.

vii. FOR CLARIFICATION, TICKETS PURCHASED AS PART OF A SUITE ORDER OR GROUP ORDER ARE NOT ELIGIBLE RESALE AT ANY TIME. Resale of Suite and/or Group tickets may result in revocation or terminate of the Revocable License for such Tickets.

viii. Notwithstanding the provisions of these Ticket Transfer Restrictions with respect to Broker Activity, certain Holders may be permitted to engage in Broker Activity. If a Holder is permitted by the Club to engage in Broker Activity, the Holder and all other parties deemed necessary by the Club (collectively the "Broker Parties") must agree to be bound by certain additional terms and conditions, set forth in a separate agreement, in writing, between the Club, Holder and the Broker Parties.
