THE PROMOTION IS OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES OR DISTRICT OF COLUMBIA WHO ARE AT LEAST 18 YEARS OF AGE OR OLDER AND ARE PHYSICALLY IN ATTENDANCE AT A PHILADELPHIA PHILLIES HOME GAME AT THE TIME OF ENTRY. MOBILE DEVICE REQUIRED FOR ENTRY. VOID WHERE PROHIBITED. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

ELIGIBILITY: The Philadelphia Phillies Prize Drop Game (the “Game” or “Promotion”) is open only to legal residents of the continental United States (the “Eligible Territory”) who are eighteen (18) years of age (except in the case of residents of jurisdictions where the legal age of majority is greater than eighteen (18) years, such legal age of majority) or older at the time of entry. Employees, officers, and directors, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and members of the same household (whether or not related), of The Phillies (“Sponsor”), the other MLB Entities, CUE Audio Inc. (the “Game Manager”), and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any other entity associated with the Game are not eligible to participate or win a prize. “MLB Entities” means the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. (“MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”), each of their parent, subsidiary, affiliated, and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees, and agents of the foregoing entities. The Promotion is subject to all applicable laws, rules, and regulations. Void outside the Eligible Territory and where prohibited or restricted by law, rule, or regulation. Each entrant (the “Entrant” or “Participant”) by participating in the Promotion agrees to be bound by these Official Rules and by the Sponsor’s and/or Game Manager’s decisions, which are final and binding in all matters related to this Promotion.

PROMOTION PERIOD: There will be one (1) promotion period which will run during the Phillies home game taking place on September 28, 2025 (the “Promotion Period”), and six (6) separate Games throughout the Promotion Period. Each Game will be announced on the videoboard in Citizens Bank Park (the “Ballpark”) and will be live (remain visible on screen) for approximately 30 seconds between innings (each, an “Entry Period”) as solely determined by the Sponsor.

HOW TO ENTER AND PLAY THE GAME: To enter and play, the Entrant must be in the Ballpark during the Entry Period and possess or have access to either an Apple mobile device or Android device (each a “Qualified Device”). Message and data rates apply. You agree to incur any and all charges demanded by your wireless carrier. Not all mobile devices offer wireless Internet access; and wireless Internet access may not be available in all areas. Released Parties are not responsible for in-Ballpark internet access or wi-fi connectivity.

To enter this Promotion, use the camera of your Qualified Device to scan the QR code on the Ballpark’s videoboard, then touch the link that appears. You will be automatically directed to play the Game. Entrants may also access the Game by opening the MLB Ballpark App, selecting the team page, and touching the “Prize Drop” tile. To play the Game, follow the steps below.

• Entrants will need to grant permission (for the Game) to access their camera.
• Once permission has been granted, Participants must hold and move their phone; and tap on the falling parachutes (for approximately 30 seconds of Game play) to see if a parachute contains a prize. If a parachute does not contain a prize or “Is Empty”, the Entrant will be prompted to continue to keep on playing. Entrants can continue tapping on parachutes until they either win a prize or the Game clock runs out for that Entry Period.
• If the Entrant clicks on a parachute with a prize (such Entrant, a “Potential Winner”), it will show them what they have won (subject to verification of eligibility) and provide instructions on how to redeem their prize. The Entrant will also receive an inbox notification in the MLB Ballpark App, which they will present to claim their prize.

By participating in this Promotion, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor which are final and binding. Except where prohibited by law, Entrants irrevocably grant to Sponsor, its affiliates, agents and licensees, the royalty-free right and permission to unconditionally reproduce, store, transmit, publish, display, use or reuse your name, score and prize information, as well as any other information or materials arising out of your participation in the Promotion for advertising, promotional, commercial, publicity and/or any other purposes (without limitation), in any and all media now or hereafter known, in any language, throughout the world, and in any manner without further review, notice, approval, consideration or compensation of Entrant. Unless prohibited by law, Entrants waive any rights of privacy, rights of publicity, intellectual property rights, and other rights that may preclude Sponsor from using or disclosing all or any part of your entry in any manner and for any purpose. By participating, Entrants further release Sponsor from any future claims arising out of any use or disclosure of Entrants’ participation consistent with these Official Rules. By participating, Entrants acknowledge and agree that Entrants will not now or in the future be paid or compensated in any way for participation or for granting the Sponsor any of the rights set out in these Official Rules, whether determined as a winner or not. Entrants further agree that Sponsor is not obligated to make use of any of the rights granted in these Official Rules.

POTENTIAL WINNER NOTIFICATION AND CLEARANCE: At the end of each Entry Period, the Potential Winners must go to the Suite Patio above Coca-Cola Corner in the Ballpark to verify eligibility, prior to receiving their prize, as per the below.

• Potential Winner must claim their prize before the end of the Promotion Period and will need to show their confirmation message. Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process. Any Game play that occurs after the Game system has failed for any reason is deemed a defective Game play, is void and will not be honored.
• Potential Winner must be validly present in the Ballpark during the Promotion Period.
• Potential Winner must be the authorized account holder of the mobile number used at time of entry/Game play.
• Potential Winner must be eligible in accordance to these Official Rules
• Upon prize forfeiture, no compensation will be given.

PRIZES, PRIZE LIMITATIONS AND APPROXIMATE RETAIL VALUE (“ARV”): Six (6) prizes will be awarded throughout the Promotion (one (1) per Entry Period as solely determined by Sponsor) as follows:

Total ARV of all prizes to be awarded each game: $6375. Limit of one (1) prize per person, family or household throughout the Promotion Period. Odds of winning a prize is based upon the number of Game Participants per Entry Period. Unclaimed prizes will not be awarded. No more than the listed number of Game prizes will be awarded. If for any reason, including but not limited to an administrative, printing, production or other error or due to incorrect announcements of any kind, more winning Official Game messages are distributed or more Game prizes are claimed than are intended to be awarded for any Entry Period according to these Official Rules, intended Game prizes will be awarded in a random drawing from among all verified prize claims received for that Entry Period. In no event will Sponsor be obligated to award more than the stated number of prizes. In the event of a printing, production or other error or irregular Game play, neither the Sponsor nor its respective agents and agencies shall have any liability. All federal, state, and other tax liabilities arising from a prize are the sole responsibility of each prize winner. Sponsor and/or Game Manager will not enter into any correspondence, including email, with non-winning entrants. No substitutions, cash equivalents, or transfer of Prize is permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize with one of comparable or greater value if the advertised prize becomes unavailable. Prize may not be sold, bartered or exchanged by winner. Prize consists of only those items specifically listed above. Sponsor is not responsible for damage or loss of a prize after it has been delivered to a confirmed winner. The Sponsor makes no warranties, and hereby disclaim any and all warranties, expressed or implied, concerning any prize furnished by third parties in connection with the Promotion. All details of Prizes not specified herein shall be determined solely by the Sponsor. Terms, conditions, and restrictions may apply. Winners acknowledge that the prize is awarded as-is without warranty of any kind.

CONDUCT: By entering into this Promotion and/or receiving a prize, Entrants and prize winners agree to be bound by these Official Rules and waive any rights to claim ambiguity in the Promotion or these Official Rules. These Official Rules are accessible on the Game home screen throughout the Promotion Period. Failure to comply with these Official Rules will result in disqualification. The Sponsor reserves the right, at its sole discretion, to disqualify any individual: (a) suspected of tampering with the entry and/or Game process or the operation of the Promotion; (b) acting in any manner deemed by the Sponsor to be in violation of the Official Rules; or (c) acting in any manner deemed by the Sponsor to constitute unsportsmanlike or disruptive behavior, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR APPLICATION OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

LIMITATIONS OF LIABILITY: Sponsor, the other MLB Entities, Game Manager, and each of their respective parents, affiliated companies, subsidiaries, and all of their respective officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of the Internet or any combination thereof; or (e) any injury or damage to the Participant’s or to any other person's mobile device/computer which may be related to or resulting from any attempt to participate in the Promotion or download any materials from/about the Promotion. If, for any reason, the Promotion is not able to run through completion for reasons which may include, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, including any other factors beyond Sponsor’s reasonable control such as a Force Majeure (e.g., war, riots, terrorism, civil unrest, strikes, blackouts, supply shortages, order of governmental authority), an “act of God” (e.g., natural disasters, weather, etc.) or an unforeseeable health event (e.g. pandemic or epidemic), then the Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion in whole or in part, without further liability to the Entrants or third parties. In the event the Promotion is cancelled, Sponsor reserves the right to award Prizes from among all eligible non- suspect Entries received prior to the time of the action or event warranting such cancellation. With regard to this Promotion, the Game Manager on behalf of the Sponsor will only contact those Entrants deemed as Potential Winners for purposes of clearance and awarding of the prizes offered. These Official Rules prevail should there be any conflict or uncertainty relating to the Promotion based on information or advice provided by any of the Released Parties.

ENTRANT AND WINNER RELEASES: All Entrants, as a condition of entry into the Promotion, agree to release and hold harmless each of the Released Parties from and against any and all liability, loss, claims, demands or actions of any kind whatsoever for injuries, damages, costs, or losses to persons or property which may be sustained in connection with: (a) accessing the Promotion webpage or the Game, as applicable; (b) playing the Game(s); (c) submitting an entry or otherwise participating in any aspect of the Promotion; (d) the acceptance, receipt, ownership, use or misuse of any prize awarded; (e) any typographical or other error in these Official Rules or the announcement of the offering of the prize; or (f) any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action. Each prize winner shall bear all risk of loss or damage to the prize after it has been delivered.

GENERAL: Any attempt by a person to use multiple mobile numbers/e-mail accounts to enter more than once will result in disqualification. Entries will be deemed made by the authorized account holder of the mobile number and/or e- mail address used at time of entry. In the event of a dispute over who submitted a winning entry, the authorized account holder of the mobile number and/or e-mail address attached to that winning entry will be declared the winner. “Authorized Account Holder” is defined as the natural person assigned to a username/e-mail address/mobile number by an Internet access provider, on-line service provider or other organization responsible for assigning usernames/e-mail addresses/mobile number for the domain associated with the username/e-mail address/mobile number in question. Potential winners may be asked to provide Sponsor with satisfactory proof that he/she is the Authorized Account Holder of the e-mail address and/or mobile number associated with a potential winning entry. Entry generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible, or corrupted are void and will not be accepted.

DISPUTES AND GOVERNING LAW: As a condition of entering this Promotion, each Entrant agrees that (a) any and all disputes, claims, controversies, or causes of action arising out of or relating to this Promotion or any prizes awarded (each, a "Claim") shall be (i) arbitrated on an individual basis only and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party and (ii) settled by binding arbitration in Philadelphia, Pennsylvania before a single arbitrator appointed by JAMS in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (b) under no circumstance will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses. For New Jersey residents, the limitations set forth above may be inapplicable where attorneys' fees, court costs, or other damages are mandated by statute. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, U.S.A, applicable to contracts entered into and performed exclusively in that State.
