In exchange for the possibility of being featured or appearing in certain content in connection with the “Atta Babe, Kruk” campaign (the “Campaign”) presented by San Francisco Giants Baseball Club LLC (together with its affiliates, the “Giants”), the receipt of which opportunity shall be sufficient consideration for this Consent, Assignment and Release (“Release”), I do hereby acknowledge and agree to the following:

Assignment of Rights. By voluntarily submitting any voicemail, email, written correspondence, photograph, or other message, recording, or content (collectively, “Submission”) to the Giants through the Campaign, including through the voicemail hotline at +1 415-972-1973, email at MikeKrukow@sfgiants.com, U.S. mail (ATTN: Mike Krukow, 24 Willie Mays Plaza, San Francisco, CA 94107), the in-ballpark letter mailbox, or social media using #attababekruk or #thankyoukruk (each, a “Submission Channel”), I hereby irrevocably assign to the Giants and the Office of the Commissioner of Baseball, Major League Baseball Properties, Inc., MLB Advanced Media, L.P., The MLB Network LLC and such entities’ respective present or future affiliates, successors, assigns or other related entities (collectively, “MLB Entities” and, together with the Giants, the “Licensed Parties”) all worldwide right, title, and interest in and to the Submission, including, but not limited to, all trademarks, copyrights and other intellectual property rights therein and thereto, together with the right to use my name, image, likeness, voice, words, biographical information, and/or other personal attributes featured or contained in the Submission (collectively, “Personal Information”).

License and Use. I hereby grant the Licensed Parties a perpetual, irrevocable, royalty-free right and license to use, depict, reproduce, modify, edit, adapt, create derivative works from, distribute, publicly display, publicly perform, broadcast, transmit, and otherwise exploit the Submission and the Personal Information in connection with the Campaign and the Licensed Parties’ promotional, marketing, and commercial activities in any medium now known or hereafter developed, including broadcast and cable television, internet, social media, in-ballpark displays at Oracle Park (or any alternate venue), MLB.TV, and any Giants- or MLB-related websites, programming, and promotional materials, without further notice, approval, or compensation. I acknowledge that any Submission made through social media is subject to the applicable platform’s terms of service and privacy policy.

No Obligation; No Approval. I understand that the Licensed Parties have no obligation to use the Submission, that I have no right of approval over any use thereof, and that the Licensed Parties may edit, modify, or adapt the Submission in their sole discretion. I hereby waive any claim based on distortion, alteration, or illusionary effect arising from any edit, modification, adaptation or other use of the Submission.

Representations and Warranties. By making a Submission, I represent and warrant that: (a) I am at least 18 years of age; (b) I own all rights in the Submission or have obtained all necessary permissions; (c) the Submission does not infringe any third-party intellectual property, publicity, privacy, or other rights; (d) this Release does not conflict with any existing obligation or agreement to which I am a party; and (e) I have obtained the consent of every other identifiable person who is featured or appears in the Submission (each, a “Featured Individual”), any Featured Individual who is a minor is a my child or legal ward, and I hereby agree to this Release on behalf of myself and all such Featured Individuals.

Release of Claims. By making a Submission, I hereby release, discharge, and forever waive any and all claims, demands, causes of action, and liabilities of any kind, whether known or unknown, against the Licensed Parties and their respective parents, subsidiaries, affiliates, officers, directors, employees, agents, sponsors, advertisers, licensees, and broadcast partners (collectively, the “Released Parties”) arising out of or relating to the use of the Submission or Personal Information, including, without limitation, claims of copyright infringement, violation of rights of publicity or privacy, defamation, or false endorsement. I have also read and understand, and I hereby expressly waive, the provisions of Section 1542 of the California Civil Code, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

Indemnification. I agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) any breach of my covenants, representations and warranties set forth in this Release or (b) the Submission.

Miscellaneous. This Release shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of this Release must be brought exclusively in the state or federal courts located in San Francisco, California. If any provision of this Release is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

BY MAKING A SUBMISSION THROUGH ANY SUBMISSION CHANNEL, I ACKNOWLEDGE THAT I HAVE CAREFULLY READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS RELEASE.
