PROMOTION RULES

PROMOTION: The Phillips 66® St. Louis Cardinals® Ticket Promotion (the “Promotion”) is sponsored by Phillips 66 Company (“Phillips 66” or “Sponsor). Receive up to fifty percent (50%) off the purchase (also referenced in promotional creative assets as “2-for-1”) of up to four (4) St. Louis Cardinals eligible baseball tickets for one (1) St. Louis Cardinals eligible home game during the 2024 Major League Baseball® regular season compliments of Phillips 66 (“Promotion”), subject to availability and blackout dates. Participants must purchase either two (2) or four (4) tickets in order to qualify for this ticket offer. Promotion applies to all St. Louis Cardinals 2024 regular season home game dates and all available seating locations/tickets except for those excluded below.

HOW TO GET PROMOTION CODES:

1) Purchase a minimum of eight (8) gallons of any grade fuel in a single transaction using the Fuel Forward™ App (the “App”) during the Promotion Period at a participating Phillips 66 or Conoco retail site. If you don’t have the Fuel Forward™ App, you can download it for free from the App store at https://apps.apple.com/us/app/ or Google Play at https://play.google.com/store/apps/.

2) Go to the Cardinals Ticket Deal Card in the Fuel Forward™ App and follow instructions on the Website within the Fuel Forward™ App. Participants must provide their first name, last name, email address, and zip code in the respective fields in the online form on the Website. Participant will receive a Promotion Code (“Promo Code”) on screen in the Fuel Forward™ App after completing the online form.

3) Each Participant who completes the online form will also receive a confirmation email with their Promo Code within 24 hours.

Participants (defined below) must have a compatible device to download and use the App. LIMIT ONE (1) PROMO CODE PER PERSON PER DAY DURING THE PROMOTION PERIOD, regardless of the number of gallons of fuel purchased. OFFER GOOD WHILE SUPPLIES LAST.

PROMOTION PERIOD: March 28, 2024, through September 20, 2024, while supplies last (the “Promotion Period”). All PROMO CODES MUST BE REDEEMED AND TICKETS PURCHASED BY SEPTEMBER 22, 2024, or PROMO CODE will otherwise be void. This offer may not be combined with any other offer and is not valid on previously purchased tickets. Promo Codes cannot be redeemed for cash and will not be replaced if lost or stolen.

HOW TO REDEEM PROMO CODES/PURCHASE TICKETS: During the Promotion Period, visit www.Cardinals.com/Phillips66 (the “Website”). Follow instructions on the Website, enter the Promo Code, choose an eligible game date and eligible ticket(s) and complete the purchase of your ticket(s) (all online fees apply).

Tickets obtained via this Promotion may not be exchanged or refunded, are for personal use only, and may not be resold or used for any promotional or commercial purpose whatsoever. LIMIT FOUR (4) ELIGIBLE TICKETS PER PROMO CODE FOR ONE (1) ELIGIBLE GAME DATE WITH A LIMIT OF ONE TRANSACTION (I.E., ONE (1) PROMO CODE REDEMPTION) PER DAY, PER PERSON. The terms and conditions of the tickets will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Each ticketholder and his/her guest(s) agree to comply with all applicable ballpark and venue regulations. Sponsor and the MLB Entities reserve the right to remove or to deny entry to any ticketholder and/or his/her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Released Parties will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and ticket forfeiture, and may invalidate the license granted by the game/event/exhibition ticket.

EXCLUDED GAME DATES/SEATING LOCATIONS AND TICKETS: Promotional codes are valid for redemption on the purchase of eligible tickets for any St. Louis Cardinals 2024 regular season home game dates excluding games played on the following dates:

ELIGIBILITY: Open to licensed drivers who are legal U.S. residents eighteen (18) years of age or older (except in the case of legal residents of certain states where the legal age of majority is greater than eighteen (18) years of age, such legal age of majority) as of March 28, 2024. Employees of the Sponsor (as defined below), the MLB Entities (defined below) or anyone involved in the production and distribution of materials for this Promotion and their immediate families (i.e., spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) are not eligible to participate. LIMIT ONE (1) PROMO CODE PER PERSON PER DAY, PER TRANSACTION, PER USER ACCOUNT DURING THE PROMOTION PERIOD, regardless of the number of gallons or grade of fuel purchased.

GENERAL CONDITIONS: Submitted materials become the sole property of the Sponsor and will not be returned. Neither Sponsor nor the MLB Entities shall be responsible for printing, typographical errors or any other errors in any Promotion-related materials or administration of this Promotion including, but not limited to, errors in advertising and in the Promotion Rules. By participating in this Promotion, you accept and agree to these Promotion Rules. All transportation to and from any game and any expenses not listed herein are the ticket holder’s responsibility. Neither Sponsor nor any of the MLB Entities (defined below) nor any of their respective assigns (collectively, the “Released Parties”) shall be liable for any circumstances which may prevent the St. Louis Cardinals games from being played. By accepting the Promo Code, each Participant agrees to release and hold harmless the Released Parties and each of their respective subsidiaries, affiliates, retailers, franchises, advertising and promotion agencies, successors and assigns from any and all liability, including all claims arising out of, but not limited to, injuries or damages of any kind sustained in connection with the acceptance, enjoyment and/or use or misuse of any tickets obtained pursuant to this Promotion. Sponsor reserves the right to change or cancel this Promotion at any time without prior notice. VOID WHERE PROHIBITED BY LAW. The “MLB Entities” shall mean the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. (“MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”), including St. Louis Cardinals, LLC (the “Cardinals”) and each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. This Promotion shall be governed by the laws of the State of Missouri and any claims or disputes shall be subject to the exclusive jurisdiction of the courts located in the City of St. Louis, Missouri.

PRIVACY POLICY, YOUR PERSONAL INFORMATION, AND TERMS OF USE: By participating in this promotion, each participant hereby agrees to Sponsor’s and Administrator’s collection and usage of participant’s personal information to (1) contact participant by phone, e-mail, or regular mail for the administration of this promotion or to allow Sponsor, Administrator, or their designees to contact participant for promotional purposes, (2) better understand the participants and help Sponsor and Administrator tailor their communications to participants, and (3) combine it with other information from and about participant. Participant also agrees to Sponsor’s and Administrator’s collection and usage of participant’s personal information to contact participant by any method made available by entrant to Sponsor and/or Administrator, for the administration of this promotion. Participant acknowledges that participant has read and accepted Sponsor's and Administrator’s privacy statements and terms of use. Sponsor will not use or disclose participant’s personal information for any other purpose other than what is stated in these promotion rules and Sponsor's privacy statement without participant’s consent. If during the entry process of this promotion, participant has elected to receive (opt-in) communications from Sponsor about future promotion or other information, participant may choose to opt out of such communications at any time upon notice to Sponsor. Any personally identifiable information collected during an participant's participation in this promotion will be used by Sponsor, Administrator, their affiliates, agents and marketers in accordance with Sponsor’s privacy policy, located at https://www.phillips66.com/privacy-statement.

LIMITATION OF LIABILITY: By accepting the Promo Codes and/or tickets, you agree to release and hold harmless the Released Parties and each of their respective parents, partners, members, managers, subsidiaries, affiliates, officers, directors, employees, agents, licensees, retailers, franchises, advertising and promotion agencies, successors, and assigns from any and all liability, including all claims arising out of, but not limited to, injuries or damages of any kind sustained in connection with your participation in the Promotion or from the receipt, acceptance, enjoyment, and/or use or misuse of any tickets obtained in connection with the Promotion. The Released Parties are not responsible for incomplete, misdirected, delayed, undelivered, inaccurate, lost, late, garbled, mutilated, illegible entries, postage due mail, incorrect or inaccurate transcription of entry, electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft, destruction or unauthorized access to or alterations of entry materials, technical, network, telephone equipment, electronic, computer, hardware or software malfunctions, or limitations of any kind or for entries that for any reason are not received by Sponsor by the stated deadline. The Released Parties are not responsible for any error or malfunction that occurs when processing entries, in the announcement of the ticket giveaway, or in any promotion-related materials. The Released Parties (i) make no warranty, guaranty or representation of any kind concerning the tickets and (ii) disclaim any implied warranty.

DISPUTES: Except where prohibited, participants agree that (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will participants be permitted to obtain awards for, and participants hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and Sponsor in connection with this Promotion, shall be governed by, and construed in accordance with, the laws of the state of Texas, without giving effect to any choice of law or conflict of law rules (whether of the state of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Texas.
