Welcome to the Browne Family Vineyards Promotion (the “Promotion”), sponsored by Precept Brands LLC (“Sponsor”). The Promotion is comprised of an instant win game (“Instant Win Game” or “Game”) and a giveaway (“Giveaway”) as further detailed below. PLEASE READ THESE OFFICIAL RULES CAREFULLY BEFORE ENTERING INTO THE PROMOTION.

THERE IS NO PURCHASE OR PAYMENT NECESSARY IN ORDER TO ENTER OR WIN THE PROMOTION. ANY PURCHASE OR PAYMENT OF ANY KIND THAT YOU MAKE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE PROMOTION IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS, AND IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

This Promotion is powered by Wit Labs, Inc. (“Wit”) on behalf of Sponsor and is accessible via the Wit website at witcontests.com, through a mobile device or computer (collectively, the “Platform”). For the avoidance of doubt, Wit is the administrator of and provides the Platform for the Promotion, but is not the sponsor for the Promotion. Wit, on behalf of Sponsor, performs the collection, submission or processing of game plays for the Promotion (“Game Plays”) as well as the overall administration of the Promotion. Participant may contact Wit with any questions, comments or problems related to administration of the Promotion. Wit may be reached by email at [email protected] during the Promotion Period.

As a requirement for participating in this Promotion, you (“You” or “Participant”) hereby agree to be bound by these Official Rules (the “Rules”) which form a legal contract by and between You and Sponsor. If You do not agree and consent to these Rules, please do not participate in the Promotion or use the Platform. To participate in the Promotion, you must agree to the Wit Terms of Use. By creating and using a Wit account, You are further required to read and agree to the Wit Terms of Use. 1.1 By participating in the Promotion, You unconditionally accept and agree to comply with and abide by these Rules, waive any right to claim ambiguity in the Rules or Promotion related advertising/materials and agree that the decisions of Sponsor with respect to the Promotion and any prize awards shall be final and binding in all respects.

The Promotion will be divided into multiple entry periods (each, an “Entry Period”) as set forth in the table below. All Entry Period times are based on Pacific Time. Limit one (1) Game Play per Entry Period per person/email address/household. Additional Game Plays beyond the specified limit will be void.

ELIGIBILITY

The Promotion is open only to legal U.S. residents residing in the state of Washington (“Eligibility Area”) who are at least twenty-one (21) years old at the time of participation. Void outside Eligibility Area and where prohibited. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Sponsor, the MLB Entities, and their parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies; and each of their respective officers, directors, employees, consultants and contractors (the “Sponsor Entities”) and the MLB Entities are ineligible to participate in the Promotion or win any related prize. The “MLB Entities” means the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. (“MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ( “Clubs”), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. “Household Members” means those people who share the same residence as any Sponsor Entity for at least three (3) months during a given year. “Immediate Family Members” means parents, step-parents, legal guardians, children, step-children, siblings, step-siblings or spouses of any Sponsor Entity. Household Members and Immediate Family Members of any Sponsor Entities or MLB Entities are also not eligible to enter or win.

HOW TO ENTER. Participants may participate the Promotion during each Entry Period by visiting https://www.mlb.com/mariners/fans/promotions/browne-family-vineyards (each, a “Promotion Landing Page”) and completing and submitting an online registration form.

By successfully transmitting a completed online registration form you will receive one (1) Instant Win Game Play. In the event You are not an Instant Win Prize winner, You will receive one (1) Giveaway Prize as outlined below (subject to availability and compliance with these Rules). Participants must fully complete and submit all non-optional data requested on the online registration form to be eligible. Incomplete and/or inaccurate Game Plays are void. All Game Plays must include a valid email address for the Participant.

All automated or robotic Game Plays submitted by individuals or organizations will be disqualified. All Game Plays must be made manually by such Participants. Any attempt by a Participant to submit multiple Game Plays by using multiple/different email addresses, phone numbers, identities, registrations, logins or any other methods will void such Participant’s Game Play and that Participant may be disqualified. Final eligibility for the award of any prize is subject to the eligibility verification of these Rules. Game Plays must be submitted by the end of the respective Entry Period in order to be eligible for such Entry Period. Wit’s database clock will be the official timekeeper for this Promotion.

PRIZES.

SEVENTEEN (17) INSTANT WIN PRIZES: There will be one (1) Instant Win Prize awarded during each Entry Period for a total of seventeen (17) Instant Win Prizes. Each Instant Win Prize winner will receive two (2) tickets for winner and one (1) guest to one (1) Seattle Mariners regular season home game in the 2024 season to be determined by Sponsor in its sole discretion; and one (1) gift card in the amount of fifty dollars ($50) to Browne Family Vineyards, redeemable for merchandise at all Browne Family Vineyards tasting room locations. Total Approximate Retail Value (“ARV”) of each Instant Win Prize is $200; total ARV of all Instant Win Prizes is $3,400. TRANSPORTATION AND LODGING IS NOT INCLUDED.

UP TO FIVE THOUSAND (5,000) GIVEAWAY PRIZES: There will be a maximum of 5,000 Giveaway Prizes awarded during the Promotion Period. Each Giveaway Prize winner will receive one (1) wine cup from a Browne Family Vineyards tasting room found at the following locations:

• Bellevue Tasting Room – 10245 Main Street, Bellevue, WA 98004
• Tacoma Tasting Room – 2508 N. Proctor ST., Ste B, Tacoma, WA 98406

All potential winners are subject to verification by Sponsor or Wit, whose decisions are final. All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of each winner.

Prizes cannot be transferred or redeemed for cash. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater estimated value if a prize described in these Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The estimated value of the prize represents Sponsor’s good faith determination. That determination is final and binding and cannot be appealed. If the actual value of a prize turns out to be less than the estimated value, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Sponsor will not replace any lost or stolen prize items.

For Instant Win Prizes: Use of any Major League Baseball game/event/exhibition ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket; see mariners.com/ticketback for details. Seat locations at the game/event/exhibition and, unless otherwise stated in the prize description, exact game/event/exhibition date shall be determined in the sole discretion of Sponsor. Each winner’s guest(s) must be of legal age of majority in his/her(their) jurisdiction(s) of residence unless accompanied by a parent or legal guardian. Major League Baseball game/event/exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club and may be subject to change. The terms and conditions of the tickets awarded as part of any prize will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Each winner and his/her guest(s) agree to comply with all applicable ballpark and venue regulations in connection with the prize; see mariners.com/ballpark for details. Sponsor and the other MLB Entities reserve the right to remove or to deny Game Play to any winner and/or his/her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Sponsor and MLB will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture, and may invalidate the license granted by the game/event/exhibition ticket.

Winner Notification. The winner(s) will instantly be notified on screen and/or by e-mail. Sponsor and/or Wit are not responsible for any delay or failure to receive notification for any reason, including inactive account(s), technical difficulties associated therewith, or a Participant’s failure to adequately monitor the Wit app or website. Any winner notification not responded to by the potential prize winner, or returned as undeliverable may result in prize forfeiture. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a Publicity Release (collectively “the Prize Claim Documents”).

Variable Probability. Odds of winning depend on the number of eligible Game Plays received during each Entry Period and the timing of such Game Play. Some prizes may be left unawarded at the end of the Promotion Period if there are fewer eligible Game Plays than expected. Sponsor reserves the right to award such remaining prizes, if applicable, to eligible Participants chosen at random.

Intellectual Property Ownership. Participant hereby acknowledges and agrees that any content submitted by Participant (“Content”) hereunder shall be deemed a ‘work made for hire’, as defined in the United States Copyright Act. Participant agrees that Sponsor shall be the exclusive owner of such Content and all rights therein. Sponsor’s ownership includes without limitation the rights to: i) exhibit, broadcast, use, reproduce, distribute, perform and license others to use all or any part of the Content; ii) edit or modify the Content in any manner, or combine same with any other materials; and iii) use and license third parties to use the Content and/or any portion thereof in any manner of exploitation.

Privacy. Personally identifiable information that is submitted by Participation as part of this Promotion will be used to administer the Promotion, determine and announce the winners. Each Participant hereby waives any claims that Participant may have or acquire against the Sponsor for libel, slander, invasion of privacy, copyright or trademark violation, moral rights, right of publicity, rights of privacy, or false light arising out of or in connection with the Sponsor’s or anyone else’s use of the Content. Participant agrees that this waiver of privacy rights and constitutes a valid consent to uses of any Personally Identifiable Information (“PII”) as may be required under applicable data protection laws. Any PII that You provide in participating in the Promotion is subject to the privacy policies of the Sponsor, Wit, and MLB. Please review the Sponsor privacy policy at https://www.preceptwine.com/privacy-policy, the Wit privacy policy at Wit Privacy Policy, and MLB’s Privacy Policy at MLB.com/privacy. By participating in the Promotion, You grant Sponsor and Wit permission to share your email address and any other personally identifiable information with the other Promotion partners for the purpose of administration and prize fulfillment, including use in a publicly available winners list. Participant hereby grants to Sponsor the non-exclusive, worldwide, perpetual, assignable, sublicensable and irrevocable right to include Participant’s name, title, image, likeness, movements, voice, conversations, sounds and performances in connection with any use or publication of the Content by Sponsor.

Warranties. Participant represents and warrants to Sponsor that Participant has all the eligibility, rights and authority as required to participate in the Promotion, and to grant the rights granted herein; ii) the Content does not infringe the rights of any third-party person or entity; and iii) no consent of any third-party person or entity is required for submission or release of the Content.

Indemnification. Participant (the “Indemnifying Party”) shall indemnify Sponsor, Wit, the MLB Entities, and their affiliates, owners, officers, directors, shareholders, agents and employees (the “Indemnified Parties”) from and against any and all losses, costs, damages, injuries, awards, judgments and liabilities, including but not limited to legal and professional fees, costs, and expenses (“Losses”), incurred by the Indemnified Parties as a result of any claim, suit, proceeding or cause of action asserted against the Indemnified Parties by a third party (“Claim”) and shall defend the Indemnified Parties against any such Claims arising from: i) any copyright, patent and/or trademark infringement, unlawful disclosure or use or misappropriation of a trade secret or other intellectual property right owing to the Indemnified Parties’ use of the Content submitted by such Indemnifying Party; or ii) any material breach of these Rules by the Indemnifying Party.

Limitation Of Liability. IN NO EVENT SHALL SPONSOR, WIT, OR ANY OF THE MLB ENTITIES BE LIABLE TO PARTICIPANT FOR ANY LOSSES OR DAMAGES, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR SPECIAL DAMAGES ARISING OUT OF THIS AGREEMENT, EVEN IF SPONSOR OR WIT HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Sponsor, Wit, and the MLB Entities further assume no responsibility or liability for:

• any incorrect or inaccurate information, or for any faulty or failed electronic data transmissions;
• any unauthorized access to, or theft, destruction or alteration of Game Plays at any point in the operation of this Promotion;
• any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Promotion;
• inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof;
• suspended or discontinued Internet, wireless or landline phone service; or
• any injury or damage to Participant’s or any other person’s computer or mobile device while participating in the Promotion or downloading of any materials in the Promotion.

DISCLAIMER. If, for any reason, the Promotion is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total estimated value as set forth in these Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Wit shall not have any liability to any Participant in connection with a canceled Promotion.

These Rules shall be governed by the laws of the State of Washington, and the parties agree to personal jurisdiction and convenient forum in King County, Washington. If any provision of these Rules is deemed unenforceable, such provision shall be severable and deemed null and void, and the remainder of the Rules shall remain in full force and effect. The failure of either party to insist upon the performance of any provision herein will not be construed as a waiver of such provision.
