Birdland Community Heroes Award Terms and Conditions

The Baltimore Orioles Limited Partnership ("Baltimore Orioles") is accepting nominations for its Birdland Community Heroes Award Program ("Program"). The Program honors and recognizes community heroes who have distinguished themselves by selflessly volunteering in fields that care for, serve, teach, protect, and improve the lives of others, around the corner or around the globe, who are most in need. To submit a nomination, nominator must be of legal age of majority in his/her jurisdiction (and at least 18 years of age) at the time of nomination submission. Employees, officers, and directors (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of Baltimore Orioles, the other MLB Entities and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the Program are not eligible to participate or receive an Award. The "MLB Entities" shall mean the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. ("MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. The Program is subject to all applicable federal, state, territory, provincial and local laws, rules and regulations. Void where prohibited or restricted by law, rule or regulation.

Baltimore Orioles will evaluate all eligible nominations in consideration of its selection of eligible nominees who are most worthy of receiving a Program Award. Baltimore Orioles will select one (1) potential eligible nominee most deserving of receiving a Program Award ("Potential Honoree") per month of the Baltimore Orioles 2024 regular season during the Entry Period; however, Baltimore Orioles reserves the right to not award any Awards if it does not receive a sufficient number of eligible or qualified nominations at its sole discretion. Subject to verification of eligibility of both Potential Honoree and the nominator who nominated such Potential Honoree, the Potential Honoree will be declared an official Honoree of the Program. Eligible nominations will be evaluated based on the following criteria: How the nominee bettered life for those in his/her community, and how the nominee best reflects the principles of volunteerism, heroism, or philanthropy. All eligible nominations will remain eligible throughout the Entry Period. Limit one (1) Award per person, family or household.

Nominators may submit nominations online only by completing the online form. Nominations must be submitted in the English language. All nominations must include a valid email address for the nominator. Nominators must fully complete and submit all non-optional data requested on the nomination form for their nominations to be eligible. Incomplete and/or inaccurate nominations are void. Limit one (1) nomination per person/email address/household.

Online nominations must not exceed one hundred (100) words in length All information submitted by nominators online is subject to, and will be treated in a manner consistent with, MLB's Terms of Use (accessible at mlb.com/tou) and Privacy Policy (accessible at mlb.com/privacy).

Self-nominations will be accepted. In order to submit a nomination which is not a self-nomination, nominator must have permission from the person he/she is nominating (or, if such person is under the legal age of majority in the jurisdiction in which he/she resides ("Minor Nominee"), must be the Minor Nominee's parent or legal guardian). The Baltimore Orioles in its sole discretion, may require nominator to verify such permission before awarding an Award.

Nominators must not include any of the following content in any nomination: (i) pornography, adult-oriented content or any other sexually-explicit material; (ii) materials relating to lotteries or gambling; (iii) explicit language or content, images of violence, or promotion of illegal activities; (iv) content in violation of intellectual property rights or laws; (v) libelous, defamatory, disparaging, tortious or slanderous materials; (vi) content that denigrates, disparages or reflects negatively on the MLB Entities, their owners and employees, or the game of baseball; (vii) tobacco, alcohol or drugs; (viii) dangerous stunts; (ix) real weapons of any kind including, but not limited to, guns, knives or projectiles; (x) material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any other basis protected by federal, state, territory, provincial or local law, ordinance, or regulation; (xi) individuals under legal age of majority without providing a signed release from parent or legal guardian; (xii) audio and/or visual content owned by any third party (e.g., recorded music; pre-produced video, etc.); and (xiii) material that is unlawful, or otherwise in violation of or contrary to the laws or regulations in any state/territory/province where the nomination is created. Any nomination that does not comply with the foregoing, in the sole discretion of Baltimore Orioles, will be disqualified and eliminated from consideration.

Honorees (or if Honoree is a Minor Nominee, such Minor Nominee's parent or legal guardian) will each receive four (4) tickets for Honoree and three (3) guests (or if Honoree is a Minor Nominee, such Minor Nominee's parent or legal guardian, Honoree and two (2) guests) for one (1) Baltimore Orioles 2024 regular season home game determined by Baltimore Orioles at its sole discretion, one (1) parking pass for use at Oriole Park at Camden Yards on the date of the game, one (1) Program award medal, and the opportunity for Honoree to be recognized on the video board during the game (each, an "Award"). (Approximate Retail Value of each Award: $400.) TRANSPORTATION TO/FROM THE GAME AND LODGING NOT INCLUDED.

Each Honoree is fully responsible for any and all applicable federal, state, territory, provincial and local taxes (including income and withholding taxes). All costs and expenses associated with the Award acceptance and use not specified herein as being provided, including but not limited to lodging, transportation costs, meals, gratuities and other expenses incurred by accepting the Award are the sole responsibility of each individual Honoree. Baltimore Orioles reserves the right to substitute any Award (or any portion thereof) with an award of comparable or greater value at its sole and absolute discretion. All Awards are non-transferable and non-assignable, with no cash redemptions except at the Baltimore Orioles' sole and absolute discretion. All Award details, including, without limitation, the exact nature and duration of the in-game video board recognition, shall be determined in the sole and absolute discretion of the Baltimore Orioles. Use of any Major League Baseball game/event/exhibition ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket; see mlb.com/ticketback for details. Seat locations at the game/event/exhibition and, unless otherwise stated above, exact game/event/exhibition date shall be determined in the sole discretion of Sponsor. Nominee’s guest(s) must be of legal age of majority in his/her(their) jurisdiction(s) of residence unless accompanied by a parent or legal guardian. Major League Baseball game/event/exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club and may be subject to change. The terms and conditions of the tickets awarded as part of the Award will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Winner and his/her guest(s) agree to comply with all applicable ballpark and venue regulations in connection with the Award. Sponsor and the other MLB Entities reserve the right to remove or to deny entry to the winner and/or his/her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Released Parties (as defined below) will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets awarded as part of this Program may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and Award forfeiture, and may invalidate the license granted by the game/event/exhibition ticket. Participation in the Award event is subject to winner’s (and guest’s) consent to and compliance with all health and safety policies of the MLB Entities.

Honorees will be notified via email or phone prior to September 13, 2024.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS PROGRAM OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS PROGRAM MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, BALTIMORE ORIOLES WILL DISQUALIFY ANY INDIVIDUAL RESPONSIBLE FOR THE ATTEMPT, AND BALTIMORE ORIOLES, MLB AND THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

By participating in the Program and submitting a nomination or giving permission to be nominated, each participant agrees to (a) be bound by these Terms and Conditions, including all entry requirements, and (b) waive any and all claims against Baltimore Orioles, the other MLB Entities, and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives and advertising and promotion agencies, and any and all other companies associated with the Program, and all of their respective officers, directors, employees, agents and representatives (collectively, "Released Parties") for any injury, damage or loss that may occur, directly or indirectly, in whole or in part, from the participation in the Program or from the receipt or use of any Award (or any portion thereof) or any travel or activity related to the receipt or use of any Award (or any portion thereof).

Released Parties are not responsible for stolen, late, incomplete, illegible, inaccurate, misdirected, lost, misrouted, scrambled, damaged, delayed, undelivered, mutilated, postage-due or garbled entries, transmissions, email or mail; or for lost, interrupted or unavailable network, cable, satellite, server, Internet Service Provider (ISP), wireless network, website, or other connections including those through and/or by any website, availability or accessibility or miscommunications or failed computer, satellite, telephone, cable or wireless transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; wireless service congestion; failures or malfunctions of phones, phone lines or telephone systems, wireless towers or cellular tower equipment; any error, omission, interruption, defect or delay in wireless or other transmission, processing, or communication; non-delivery; misdirected, blocked, or delayed email notifications; printing, typographical or other errors appearing within these Terms and Conditions, in any Program-related advertisements or other materials; or any other errors, problems or difficulties of any kind whether human, mechanical, electronic, network, computer, telephone, wireless service, mail, typographical, printing or otherwise relating to or in connection with the Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Program, the processing of entries, the announcement of the Awards or in any Program-related materials, or the cancellation or postponement of any Major League Baseball game, event or exhibition. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program. Released Parties are not responsible for injury or damage to entrants' or to any other person's computer and/or wireless device related to or resulting from participating in this Program or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Program or website or attempt to undermine the legitimate operation of the Program by cheating, deception or other unfair playing practices, or intend to annoy, abuse, threaten or harass any other entrant or any representative of Baltimore Orioles and/or MLB or who are in violation of these Terms and Conditions, as solely determined by Baltimore Orioles, will be disqualified and all associated entries will be void. Any attempt to deliberately damage the content or operation of this Program is unlawful and subject to legal action by Baltimore Orioles, MLB and/or their respective agents. Baltimore Orioles shall have the sole right to disqualify any entrant for violation of these Terms and Conditions or any applicable laws relating to the Program, and to resolve all disputes in its sole discretion. Released Parties (a) make no warranty, guaranty or representation of any kind concerning any Award (or any portion thereof), and (b) disclaim any implied warranty. Baltimore Orioles' failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.

In the event that the Program is challenged by any legal or regulatory authority, Baltimore Orioles reserves the right to discontinue or modify the Terms and Conditions, or to disqualify nominations submitted by individuals residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any nominators whose nominations are disqualified due to such an action.

Each entrant agrees that (a) any and all disputes, claims, controversies or causes of action arising out of or relating to this nomination form, or any Awards awarded, shall be (i) arbitrated on an individual basis only, and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party, and (ii) settled by binding arbitration in Baltimore County, Maryland before a single arbitrator appointed by JAMS in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (b) under no circumstance will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses. For New Jersey residents, the limitations set forth above may be inapplicable where attorneys' fees, court costs, or other damages are mandated by statute. These Terms and Conditions shall be governed by and construed and interpreted in accordance with the laws of the State of Maryland U.S.A, applicable to contracts entered into and performed exclusively in that State.
